Glosa dotyczy wyroku, wydanego przez Sądu Apelacyjnego w Szczecinie w oparciu o dodany przed dziesięciu laty przepis art. 72 § 2 k.c., odnoszący się do odszkodowania za naruszenie dobrych obyczajów podczas negocjacji, tj. odpowiedzialności przedkontraktowej. Autor potwierdza zasadność rozstrzygnięcia sądu (oddalenie powództwa), jednak wskazuje na pewne nieścisłości w uzasadnieniu prawnym orzeczenia, wskazujące na – dostrzeżony już w doktrynie – problem z umiejscowieniem art. 72 § 2 k.c. w systemie. Jak wskazano w glosie, jest to problem teoretyczny, mający notabene niewielkie znaczenie dla praktyki obrotu. Wokół nowej regulacji narosły wątpliwości teoretyczne, przy czym wynikają one stąd, iż rzeczony przepis dodano do kodeksu zbyt pochopnie – w sposób intuicyjny, a co za tym idzie także nieprzemyślany. W konkluzji autor wskazuje na zasadność stanowiska tych przedstawicieli doktryny, którzy rzeczony przepis uznają za superfluum względem ogólnej klauzuli deliktowej (art. 415 k.c.).

The gloss refers to the sentence of the Court of Appeal in Szczecin, pronounced on the basis of the new Article 72 § 2 of the Polish Civil Code (k.c.) that regulates the precontractual liability due to conducting negotiations in breach of good custom. The author confirms the correctness of the sentence (dismissal of the suit), but also underlines some inconsistencies in the grounds of legal decision, which indicate - already noticed in the Polish doctrine – problem of locus of the given article in the Polish legal system. The new regulation brings theoretical doubts, however its relevance to practice is minor. Nonetheless, the author assets that doctrinal controversies have arisen mostly because of the fact that the given amendment was precipitate and not sufficiently considered. Thus, in the conclusion the author declares himself in favour of those academic writers who consider that the new Article 72 § 2 k.c. as superfluum to the fundamental rule of ex delicto liability (Article 415 k.c.).
