W przeciwieństwie do obecnego brzmienia ustawy - Kodeks spółek handlowych, która nie przewiduje możliwości przekształcenia spółki handlowej w spółdzielnię, proponowany przez Autorów projekt ustawy w sprawie zmiany ustawy - Kodeks spółek handlowych dopuszcza wszelkie możliwe konfiguracje przekształceń, tj. spółek osobowych w spółdzielnie, spółek kapitałowych w spółdzielnie, przekształcenie osoby fizycznej prowadzącej działalność gospodarczą w spółdzielnię oraz przekształcenie spółki cywilnej w spółdzielnię. Mając więc na uwadze rozwój spółdzielczości w Polsce powstała potrzeba uchwalenia ustawy rozbudowującej katalog ustawowych typów przekształceń spółek. Przygotowany przez Autorów projekt ustawy o zmianie ustawy Kodeks spółek handlowych stanowić ma przyczynek do dyskusji nad potrzebą wprowadzenia proponowanych zmian. Jako przykład zmian, które mogą zostać wprowadzone w wyniku uchwalenia ustawy o przekształceniach spółek w spółdzielnie można zdaniem Autorów wskazać prowadzenie działalności sportowej w formie spółdzielni - na wzór takich klubów sportowych jak FC Barcelona czy Real Madryt. Z tych też względów Autorzy przygotowali również projekt ustawy o zmianie ustawy o sporcie umożliwiającej prowadzenie działalności sportowej w formie spółdzielni.

In contrast to the current wording of the act - the Commercial Companies Code, which does not allow for the conversion of commercial company into co-operative, the draft act on amendments to the act - the Commercial Companies Code, proposed by the Authors, allows all possible transformation configurations, i.e. of partnerships into co-operatives, associations of capital into co-operatives, the conversion of a natural person having business into a co-operative and the transformation of civil partnership into co-operative. Having in mind the development of the cooperative movement in Poland, the need arose to pass a bill that will expand the catalog of statutory types of companies’ conversions. The draft act amending the act- Code of Commercial Companies, prepared by the Authors, constitute a contribution to the discussion on the need to implement the proposed changes. As an example of changes, that can be made as a result of enactment of the Act on the conversion of companies into co-operatives, the Authors indicate pursuing sporting activities in the form of co-operatives - like sports clubs such as FC Barcelona and Real Madrid. For these reasons, the Authors also prepared a draft act amending the Act on the sport enabling pursuing sports activities in the form of co-operatives.
