W celu rozwoju prowadzonej działalności gospodarczej spółka komandytowo-akcyjna potrzebuje stałych środków pieniężnych. Jednym ze sposobów na pozyskanie takich funduszy jest emisja obligacji przez spółkę. Poza problemem w znalezieniu osób wyrażających wolę nabycia obligacji, emitent musi zmierzyć się z trudnością w interpretacji niejasnych przepisów dotyczących opodatkowania emisji oraz obrotu obligacjami. Publikacja swoim zakresem obejmuje rozważania na temat aspektów podatkowych w zakresie podatku dochodowego, podatku od wartości dodanej oraz podatku od czynności cywilnoprawnych, jakie mogą wystąpić podczas przedmiotowych czynności prawnych. Zastosowano analityczną, językową oraz logiczną metodę badawczą. w wyniku przeprowadzonej analizy przyjęto, że przychód dla obligatariusza stanowi wysokość dyskonta. w zakresie VAT czynność emisji obligacji nie podlega opodatkowaniu. Także na gruncie podatku od czynności cywilnoprawnych przyjęto brak powstania obowiązku podatkowego w wypadku emisji obligacji przez sp.ka. Jako postulat de lege ferenda przyjęto potrzebę wprowadzenia do ustawy o podatku od czynności cywilnoprawnych zwolnienia analogicznego jakie przysługuje w sytuacji, gdy emitentem obligacji jest Skarb Państwa.

To develop its business activity a limited-joint-stock company needs fixed cash assets. a bond issue is one of the ways to raise such funds by the company. Apart from the problem of finding entities interested in the purchase of bonds, the issuer must face the problem of interpretation of the vague regulations concerning the taxation of emission and the turnover of bonds. The paper with its scope embraces deliberations on tax aspects related to the income tax, the value added tax and the tax on civil law transactions which can occur during object legal activities. Analytical, linguistic and logical research methods were applied. As a result of conducted analysis it was assumed that the income for the bond holder constituted the amount of the discount. In the value added tax the activity of the bond issue is not a subject to taxation. Also on the grounds of the tax on civil law transactions a lack of existence of tax obligation was also assumed in an accident of bond issue by the limited-joint-stock company. The de lege ferenda postulate calls for a need to introduce into the Act on the tax on civil law transactions of the analogous dismissal for situations in which the issuer of the bond is the State Treasury.
