Interesting in corporate governance is growing at the present time in the world. This is due to the advancing processes of globalization as well as the ongoing financial crisis, and thus the rise of international dependence, which leads to a global economic system. Moving business activities beyond borders of one country, the emergence of increasingly complex businesses, as well as other factors contributed to the legal regulation of business, also to control them. One solution, which is to ensure better functioning of economic entities is effective corporate governance. Too much difference in the development of financial markets in different countries, different political and historical conditions, the concentration of ownership meant that have developed very different models and systems of corporate governance. This article aims to present the essence and the importance of corporate governance. To achieve this goal will examine the genesis, evolution of corporate development, concept, various definitions of corporate governance, functions and models.
