Ownership transformations are a basic form of structural transformation in the Polish economy. The aim of this article is to identify the structures of participants interested in taking over the property of privatized companies and the motives and objectives that guide them in actively molding the forms and conditions of privatization. Of particular importance is the role and the motives of 'insiders' in the direct privatization path, which may be considered the main mechanism for managerial takeovers of various types made under Polish conditions.
