The objective of the paper is to evaluate the degree of change of institutional order in Poland during transition. Institutional order has been taken in broad sense, not only as intemal coherence of generał and bilateral institutions, but as well ability to assure smooth pace of economic processes as well as innovation and growth. Theoretical approaches to institutional dynamics, it's sources and conseąuences have been discussed. In empirical part the direction of changes of generał legał rules and their conseąuences for co-operation between the economic agents have been described. The importance of private sector growth and of emerging "mixed" property formulas and concentration have been underlined. The evolution of "private" forms of governance of co-operation relations between the agents have been indicated, revealing perfectioning of mechanism, but nevertheless inconveniences of their "over-prudent" character, due to the weakness of institutional environment and enforcement and opportunism of economic agents. Finally the relationship has been revealed between the difficult market-type co-operation and emergence of new organisational forms embodying withdrawal of some economic relations from the market (alliances between enterprises, internalisation).
