The system transformation which started in the last decade of the previous century and the accompanying transition into market oriented economy have contributed to the increase of foreign investors’ interest in committing their capital in Poland. The interest grew even more after Poland joined the European Union. With limited national financial resources and great demand for the same, foreign investment has been a desirable factor supporting and accelerating economic growth. The objective of this paper is to evaluate the changes in the level and structure of foreign capital in Poland in the years 2008–2013, that is during the period of economic downturn following the global financial crisis. The point is, first of all, to find an answer to the following question: to what extent has the economic destabilisation caused by the crisis influenced the decisions of foreign investors concerning investing their capital in Poland? This allows to verify the following scientific hypothesis: during crisis stability of the financial system of the country in which parent companies have their seats is more important for foreign investors than financial security of the host country. The analysis covers total foreign capital, that is both direct and portfolio investment, as well as derivatives and credit facilities. The empirical part of the study has been based on the information published by the National Bank of Poland.
Tradycyjnym kryterium oceny dokonań przedsiębiorstwa jest zysk netto, będący miernikiem księgowym. Coraz częściej do oceny finansowych dokonań przedsiębiorstwa wykorzystywana jest także kategoria zysku ekonomicznego – ekonomiczna wartość dodana. Ekonomiczna wartość dodana wyraża nadwyżkę finansową, która pozostaje w przedsiębiorstwie po odjęciu kosztu kapitałów zainwestowanych w przedsiębiorstwie. Celem artykułu jest sprawdzenie, w jakim zakresie spółki wypłacające dywidendę generują ekonomiczną wartość dodaną. Obiektem badania są spółki notowane na GPW w Warszawie, które w latach 2010 i 2011 wypłaciły dywidendy. Analiza wykazała, że dodatni poziom ekonomicznej wartości dodanej osiąga niespełna połowa spółek. Jedną z przyczyn tego stanu rzeczy jest niekorzystna sytuacja na rynku kapitałowym i związane z tym duże ryzyko inwestycji w akcje, co przekłada się na relatywnie wysoki koszt kapitału własnego w spółkach.
The systemic transformation in Poland, aimed, among others, at activating market mechanisms, has resulted in a change in the ownership structure and privatization that has accompanied it. Privatization processes are commonly considered to be principally motivated by an increase in efficiency of the economy based on the assumption that efficiency of private enterprises is higher than that of public sector ones. The main aim of the article is to verify the above hypothesis. An analysis of efficiency of public and private sector enterprises, taking into account their organizational and legal forms, made on the basis of Central Statistical Office information, confirmed the above hypothesis. Private enterprises use their assets better and take advantage of the financial leverage mechanism to a larger extent. It should be emphasized, however, that private enterprises are more adversely affected by economic fluctuations caused by the crisis.
The relationship between dividend decisions and investment decisions of companies has been the subject of scientific analyses and inquiry for decades. They show that the tendency of companies to pay dividends and their amount are determined among other things by their stage of development. According to the theory of dividends based on the life cycle, most income dividend is spent on dividends by companies in the phase of maturity, because their investment capabilities are limited and the demand for external capital is little. The aim of the article is to check whether the assumptions of this theory are true in Polish conditions. The analysis included 75 companies, which in the years from 2014 to 2016 each year shared the profits with their shareholders. With regard to the regularity of paying dividends these companies have been defined as dividend companies. By studying the relationship between the amount of dividends, net financial results and the value of equity and assets of the companies, it was demonstrated to what extent the payment of dividends determines the change as far as their material and capital resources are concerned. The negative correlation between the amount paid dividends and an increase in assets and equity was confirmed, which is consistent with the theory of dividends based on the life cycle of a company.

Zależność między decyzjami dywidendowymi a decyzjami inwestycyjnymi przedsiębiorstw od kilkudziesięciu lat stanowi przedmiot analiz i dociekań naukowych. Wynika z nich, że skłonność firm do płacenia dywidend i ich wysokość determinowane są m.in. przez stadium ich rozwoju. Zgodnie z teorią dywidend, opartą o cykl życia firmy, najwięcej zysku przeznaczają na dywidendy przedsiębiorstwa znajdujące się w fazie dojrzałości, ponieważ ich możliwości inwestycyjne są ograniczone, a zapotrzebowanie na kapitały zewnętrzne jest niewielkie. Celem artykułu jest sprawdzenie, czy w warunkach polskich założenia tej teorii są prawdziwe. Analizą objęto 75 spółek, które w latach 2014–2016 corocznie dzieliły się zyskiem z akcjonariuszami. Mając na względzie regularność płacenia dywidend, spółki te określono mianem spółek dywidendowych. Badając relację między kwotami dywidend, wynikami finansowymi netto a wartością kapitałów własnych i aktywów spółek, wykazano, w jakim stopniu wypłata dywidend determinuje zmiany ich zasobów majątkowych i kapitałowych. Potwierdzono ujemną zależność między wielkością płaconych dywidend a przyrostem aktywów i kapitałów własnych, co jest zgodne z teorią dywidend opartą o cykl życia firmy.
The decision on the payment of dividends by a company is determined by many factors. One of them is the separation of ownership and management, associated with this form of supervision in the enterprise. The control mechanism of the share holders over the managers is share holding structure that reflects the level of ownership’s concentration. The purpose of this article is to verify the research hypothesis, according to the degree of concentration of ownership, and whether the related form of corporate governance have an impact on decisions concerning net profits allocation and dividends payment. The research covers the community of 117 companies. The analysis covers the 2013–2015 period. The study confirmed the validity of the formulated hypothesis.

Decyzja o wypłacie dywidendy przez spółkę jest uwarunkowana wieloma czynnikami. Jednym z nich jest fakt rozdzielenia własności i zarządzania. Mechanizmem kontrolnym akcjonariuszy w stosunku do menedżerów jest struktura akcjonariatu odzwierciedlająca stopień koncentracji własności. Celem artykułu jest weryfikacja hipotezy, że struktura akcjonariatu i związana z nią forma nadzoru korporacyjnego mają wpływ na decyzje dotyczące podziału zysku i wypłaty dywidendy. Badaniem objęto 117 spółek giełdowych, płacących systematycznie dywidendy. Analiza obejmuje okres 2013–2015. Przeprowadzone badanie potwierdziło słuszność sformułowanej hipotezy.
It is generally believed that the amount of dividends paid by a company determines the net profit for the last financial year. In fact, the dividend must not be in direct relation with the net profit, as a source of funding may also be retained earnings. The purpose of this article is to examine to what extent the companieslisted on the Warsaw Stock advantage of this opportunity. In 2010-2012 it made the 39 companies and the share of retained earnings in the amount paid by the company’s dividend was 43%. One of the reasons for this is the economic slowdown, accompanied by limited access to attractive investment projects.
The purpose of the submitted paper is to assess changes in the level and structure of foreign investments in Poland during the years 2008–2013, so in the period of destabilization of the business environment, which was a consequence of the global financial crisis. The analysis, based on National Bank of Poland’s data showed that investment attractiveness of Poland has not been significantly reduced; however, the transfer of capital and profits has been observed. It can be concluded that in times of crisis, foreign investors prefer the stability of the financial system of the country in which the parent companies are residing to the financial system’s safety of the country that hosts subsidiary companies.

Celem artykułu jest ocena zmian poziomu i struktury inwestycji zagranicznych w Polsce w latach 2008–2013, a więc w okresie destabilizacji warunków prowadzenia działalności gospodarczej będącej następstwem globalnego kryzysu finansowego. Analiza przeprowadzona na podstawie informacji Narodowego Banku Polskiego wykazała, że atrakcyjność inwestycyjna Polski nie uległa istotnemu osłabieniu, zaobserwowano jednak zjawisko transferu kapitału i zysków za granicę. Można zatem wnioskować, że w okresach kryzysowych inwestorzy zagraniczni przedkładają stabilność systemu finansowego kraju, w którym mają siedzibę spółki macierzyste nad bezpieczeństwem systemu finansowego kraju goszczącego spółki zależne.
The aim of the article is to verify a hypothesis of the ownership structure influencing the dividend strategy of companies listed at both main stock and alternative markets of the Warsaw Stock Exchange. In order to evaluate the hypothesis, dynamic panel Lintner’s partial adjustment models with individual random effects have been estimated by means of instrument variables method, separately for each of the five company groups specified due to their ownership structure. Each one has systematically paid out dividends in the years 2012-2016. The results confirm that the dividend strategies of companies significantly depend on their ownership structure. Companies controlled by strategic investors had the highest dividend payout ratio, whereas the ones controlled by institutional investors — the lowest.

Celem artykułu jest weryfikacja hipotezy o wpływie struktury akcjonariatu na strategie dywidendowe spółek notowanych na rynkach głównym i alternatywnym Giełdy Papierów Wartościowych w Warszawie. Do weryfikacji tej hipotezy zastosowano model częściowych dopasowań Lintnera. Dynamiczne modele panelowe z losowymi efektami indywidualnymi estymowano metodą Instruments Variables, oddzielnie dla pięciu wyodrębnionych pod względem struktury akcjonariatu grup spółek, które systematycznie wypłacały dywidendy w latach 2012–2016. Otrzymane wyniki potwierdziły, że strategie dywidendowe spółek w sposób istotny zależą od ich struktury właścicielskiej. Zdecydowanie najwyższą docelową stopą wypłaty dywidendy charakteryzują się spółki kontrolowane przez inwestorów strategicznych, natomiast najniższą spółki kontrolowane przez inwestorów instytucjonalnych.
