Niniejsza glosa zawiera argumentację negującą stanowisko SN w kwestii nieskuteczności cesji dokonanej po wniesieniu pozwu w postępowaniu nakazowym, a przed doręczeniem go pozwanemu, z uwagi na brak wydania dokumentu nabywcy. W ocenie autorki glosy przedmiotowa cesja powoduje upadek legitymacji materialnej powoda i powinna skutkować oddaleniem powództwa. Brak wydania dokumentu nie uzasadnia bezskuteczności cesji z uwagi na fakt, iż dokument znajdował się w dzierżeniu czysto zastępczym sądu wyłączającym faktyczne władztwo nad dokumentem osób trzecich.

The commentary contains arguments that challenge the High Court ruling on an unsuccessful cession after filing proceedings by writ of payment, but before having it delivered to the defendant; due to not issuing the document to the buyer. It is the author’s opinion that results in the demise of the defendant’s material legitimacy, and should result in dismissal. The lack of issuing of the document does not justify the cession’s ineffectiveness due to the fact that the document was in a substitute lease of the court which excludes actual authority over the document by a third party.
Niniejszy artykuł podejmuje tematykę zabezpieczeń rzeczowych na nieruchomości. Nowelizacją ustawy o księgach wieczystych i hipotece z dnia 26 czerwca 2009 r. dokonano systemowych zmian w konstrukcji hipoteki, w tym wprowadzono wiele rozwiązań dokonujących wyłomu w zasadzie akcesoryjności tego ograniczonego prawa rzeczowego. Nowelizacja została oceniona przez doktrynę pozytywnie. Jednak na gruncie obowiązującej ustawy nie występuje hipoteka „bezpodmiotowa”, tj. nieokreślająca podmiotu, którego wierzytelność ma podlegać zabezpieczeniu. W związku z tym, w artykule dokonano analizy zasadności wprowadzenia nieakcesoryjnego ograniczonego prawa rzeczowego w postaci długu gruntowego. W tym celu porównano instytucje hipoteki, długu gruntowego i przewłaszczenia nieruchomości na zabezpieczenie. Ta ostatnia – wykreowana głównie przez praktykę obrotu – postrzegana jest jako konkurencyjna wobec długu gruntowego. Podobieństwo obu konstrukcji prawnych stanowiło asumpt do podjęcia próby recypowania rozwiązań przyjętych w projekcie legislacyjnym długu gruntowego w kontekście ochrony praw właściciela nieruchomości dla potrzeb przewłaszczenia nieruchomości na zabezpieczenie.

The article touches upon the issue of real estate collateral. The amendment to The Land and Mortgage Registers and Mortgage Act of 26th June 2009 introduced system changes in the mortgage construction, including many solutions that revolutionized the rule of accessoriness of this limited property laws. The amendment was assessed positively by the doctrine. However, in terms of the effective act there is no “subjectless” mortgage, meaning a mortgage that does not state the subject whose debt is to be secured. As a result, the article analyses the legitimacy of introducing nonaccessory limited property laws in a form of land debt. In order to analyze it, mortgage, land debt and transfer of real estate institutions were compared. The last institution, which was created mainly through trade practice, is perceived as competitive for land debt. The similarity of both legal structures have become the inducement to the attempt to adopt the solutions of the land debt legislative proposal in the context of the protection of the rights of the owner for the purposes of transfer of real estate.
