The article concerns the German Law on the Modernization of the Limited Liability Company Law and the Prevention of Misuse (MoMiG) of October 23, 2008. The new law is not only the most fundamental amendment to the Limited Liability Company Law in history, but it also introduces some crucial amendments to the insolvency law. The article presents the motives for the legislation, the contents of the new regulation and the possible practice of establishment and management of limited liability companies under the new law.
