Transactions with himself are among the typical behaviors of a controlling shareholder who abuses his position in a public company. The article discusses hidden contributions in kind, which are the result of this type of behavior. It has been determined in which hidden contributions in kind differ from properly made contributions and what are the negative consequences of the former. The discussion includes the legal aspects of this phenomenon. Some cases of circumventing the contribution-in-kind regulations are described. Based on one of those cases, the issue of the suitability of the share capital as an institution designed to protect creditors is addressed. Consideration is given to the difficulties occurring in practice in combating the hidden contributions in kind.
Duży odsetek spółek publicznych w Polsce nie tworzy wartości dla akcjonariuszy. Zaprezentowano wyniki badań dotyczących wpływu struktur własności na efektywność działania spółek publicznych. Badania te nie były w stanie wyjaśnić w wystarczającym stopniu zjawiska destrukcji wartości. Starano się wykazać, że jedną z przyczyn tego zjawiska jest transfer wartości. Zalicza się go do głównych problemów nadzoru korporacyjnego. Szczególną uwagę zwrócono na występowanie tego zjawiska w grupach kapitałowych, jako że mają one przeważający udział w kapitalizacji warszawskiej giełdy. W części empirycznej przytoczono przypadki transferu wartości w celu zwrócenia uwagi na niektóre uwarunkowania tego zjawiska związane ze strukturą własności. W podsumowaniu stwierdzono, że nadzór korporacyjny w spółkach giełdowych w dalszym ciągu nie może poradzić sobie z problemem transferu wartości.
Celem artykułu jest prezentacja prawnych aspektów funkcjonowania grup kapitałowych w Polsce. Opracowanie dotyczy prawa grup spółek rozpatrywanego z punktu widzenia potrzeb działalności gospodarczej, z uwzględnieniem ochrony akcjonariuszy mniejszościowych, wierzycieli i menedżerów spółek tworzących holding, w szczególności spółek zależnych. Wykazano, że polski system prawa nie spełnia w pełni potrzeb grup spółek i współczesnego obrotu gospodarczego i tym samym nie sprzyja konkurencyjności gospodarki.
The aim of the study is to evaluate ownership and control structures of Polish public companies. The shareholding appears to by strongly concentrated. This follows from the provisions of Tender offers - a shareholder may exceed 66% of the total vote in a public company only as a result of a tender offer to acquire or exchange the remaining shares in the company. Grupy kapitałowe odgrywają dużą rolę w polskiej gospodarce. Okazuje się jednak, że wiele z nich nie powiększa swojej wartości. Celem artykułu jest wskazanie na transfer wartości jako jedną z przyczyn destrukcji wartości w grupach kapitałowych. Zaprezentowano także aspekty prawne funkcjonowania grup kapitałowych. W Polsce od 2021 roku będzie obowiązywało prawo holdingowe (prawo grup spółek). Prawdopodobnie nie będzie dotyczyło w pełni spółek giełdowych. Wyjaśniono powody oraz konsekwencje takiego potraktowania spółek giełdowych.

Groups of companies play a significant role in the Polish economy. However, many of them do not increase their value. The aim of the article is to indicate the transfer of value as one of the reasons for value destruction in groups of companies. The legal aspects of the functioning of groups of companies are also presented. In Poland, the holding law will implemented in 2021, but it will not probably fully apply to listed companies. The reasons for and consequences of such treatment of listed companies were explained.
Kapitał zakładowy jest mocno zakorzeniony w rachunkowości. Obecnie w środowisku prawników instytucję kapitału zakładowego poddaje się krytyce. Taki też jest cel artykułu - wykazanie dysfunkcjonalności kapitału zakładowego i wskazanie na potrzebę reformy struktury majątkowej spółki. Wykorzystano krytyczną analizę literatury przedmiotu, aktów prawnych oraz porównanie projektowanych rozwiązań. Zwrócono uwagę na nie spełnianie przez kapitał zakładowy funkcji gwarancyjnej uznawanej do niedawna za jego podstawową funkcję. Opisano wady kapitału zakładowego utrudniające spółkom funkcjonowanie. Nakreślono wcześniejsze próby reformy kapitału zakładowego, które nie doszły do skutku. Wiele z tych propozycji zostało uwzględnionych w nowym modelu spółki bez kapitału zakładowego - prostej spółce akcyjnej. Skoncentrowano się na omówieniu tych jej cech, które zastępują kapitał zakładowy. Wychodzi ona naprzeciw postulatom reformy struktury majątkowej spółki. Przytoczono również reformy kapitału zakładowego w innych krajach i w tym kontekście wskazano na potrzebę reformy struktury majątkowej spółki, aby sprostać konkurencji ze strony innych systemów prawa spółek w ramach Unii Europejskiej.

Share capital is deeply rooted in accounting. The institution of share capital is currently criticized in the legal community. This is also the aim of the article – to show the dysfunctionality of share capital and show the need for reforming the proprietary structure of companies. The author used a critical analysis of the literature on the subject and legal acts as well as a comparison of designed solutions and drew attention to the failure of share capital to perform the guarantee function, which until recently was considered to be the basic function thereof. The article also contains a description of the disadvantages of share capital that make it difficult for companies to operate. The author also outlined earlier, failed attempts at reforming share capital. Many of these proposals were included in the new model of a company without share capital – a simple joint-stock company. The focus was on discussing the features thereof that replace share capital. It addresses the calls for a reform of the company’s proprietary structure. The author also discusses reforms of share capital in other countries, and in this context, he indicates the need to reform the proprietary structure of the company to be able to compete with other legal systems of companies within the framework of the EU.
