The author presents results of empirical research carried in 219 firms of National Fund Investment (NFI). The analysis of results showed that economic market environment of enterprises in 1990 revealed “underdevelopment” of governance structures in the investigated enterprises. As the consequence we could observe the lose of their abilities of adaptation. It was determined by the feeling of “scale complex” of managers activity. The author puts the question whether the institutional owner (NFI) will manage to successfully change the structure of firms when their structure o f management brings conflicts. In order to solve this question further research should be carried out.

A variety of personal features were analysed in the research of management. The Feature Theory has been sharply criticized since it has been proved that it is impossible to discover a "mental structure" characterizing an efficient manager. A combination of personality features (such as intelligence) with the structure of the situation permits to reactivate the Feature Theory in a slightly modified form. Several theoretical constructs) the Semantic Differential Scale LPC by F.Fiedler, the Locus of Control by J.Rotter and the F-scale by Th. Adorno serve the study of personality features by referring them to the structure and dynamics of the situation of management.

The energy sector in Poland is characterised by a high level of unionisation. In this article we analyze the role of socio-demographic characteristics of individuals, union status, labor relations climate and structural attributes in shaping the perceptions of employees in terms of the efficacy of labor unions. From our analysis, we can conclude that gender, unionmembership status and climate industrial relations matter in determining perceptions of the efficacy of labor unions. In particular, we find that union members feel more positive about the ability of unions to protect job security, working conditions and pay than nonunion members and that former members not differ from never union members in these views.
