The paper covers the problem of the competences of the Board of Directors in parent company and in the business units. It indicates the legal framework for the Board to inspire, to analyze, to give expertise and to approve the strategic decisions of the company. The research findings in three Polish multibusiness companies lead to the conclusion that the role of the Board of Directors in creating the strategy, although still quite passive, contains some active issues. Although the role in inspiring and supervising the strategic decisions is not executed in the manner that is allowed by the legal system, the small activity can be noticed in some of above mentioned companies. The Boards not only formulate the opinion of these decisions but -some of them - approve strategic plans created in the parent company.

The distinctive feature of innovative undertakings, as opposed to standard investment undertakings, is the presence of the innovation creation phase characterised by a risk connected with the lack of certainty as to the research results. The said risk is so significant that it cannot be accounted for in the handling costs and the methods of providing security to traditional and unconventional forms of financing. The use of hybrid forms of financing, which include venture capital and mezzanine capital, allows one to increase the elasticity of handling costs of the forms of financing, as well as to make use of special forms of security. In the case of venture capital, in the period of the project's realisation, the handling costs of such form of financing do not occur as funds become shareholders of the project until its completion. The security has the form of corporate governance on account of shares (stocks) held. In the case of mezzanine capital, in the period of the project's realisation the handling costs can be decreased by way of a part of them being "brought forward" until completion of the project in the form of the so-called warrant.

This study presents empirical evidence on the profitability of an investment strategy focused on high dividend yield stocks from the Warsaw Stock Exchange. We construct the portfolios of top 10 highest dividend yielding companies, which are rebalanced annually over the period of 1997-2007. The results demonstrate that such portfolios are capable of beating the market (represented by the WIG20 index) in the entire analyzed sample, however this has not been happening consistently in all sub-periods. Therefore, this type of investment should be viewed as a long-term rather than a short-term strategy.

A wider glance at the environment where the enterprise operates is assured - so-called the analysis of teams - proposed by M. E. Porter. Clusters - are groups of mutually related and interested in a definite field of enterprises (producing final articles or providing service), specialized tradesmen, points of service, financial institution, firms acting in related sectors and connected competitive institutions. Recognition of component part of the team makes it possible for the enterprise to make best decisions, aiming at creating and improving competitive position on the market. This article tests the identification of components of a team in theoretical and empirical (approach example of health service centre) as well as the influence of analysis of the clusters onto building a competitive position of the subject.
