An interlocking-directorates monitoring system

The subject of the study was interlocking directorates in Polish joint stock companies. In order to explore this area a monitoring system has been developed which consists of a database and query system. Data is automatically introduced from printed announcements into the MySQL database using PHP scripts.The phenomenon of interlocking directorates in Polish joint stock companies is comparable with other countries. Board members in Poland are significantly younger than, for example, in the USA. Women constitute an important group of board members. Insurance companies and investment funds are closely connected with other companies, but banks are not.The monitoring system developed enables us to identify who is, and who was, a board member of every joint stock company. It also enables us to identify, for every person, which board he or she now serves on, and has served on, in the past. The system also enables us to produce different reports concerning, for example, changes in certain indexes in subsequent years. The system is also accessible via the Internet.

Neoliberalne przeobrażenia islandzkiej ekonomii politycznej i produkcja nowych subiektywności w latach 90. XX wieku doprowadziły nie tylko do znaczących przemian społecznych i kulturowych w Islandii, ale także przygotowały podatny grunt nadejście kryzysu ekonomicznego w 2008 roku. Jego doświadczenia i konsekwencje były oczywiście różne, aczkolwiek sam kryzys stał się także istotnym punktem na temporalnej mapie Islandii. Mimo że Islandia ponownie przeżywa dziś ekonomiczny boom, niepewna przyszłość wyłania się w teraźniejszości. Codzienne praktyki, zjawiska i znaczenia „ładują” atmosferę i stają się symptomami nadchodzącego kolejnego kryzysu. Celem tego artykułu jest zatem prześledzenie i sproblematyzowanie antycypacji, w ramach której wyłaniają się interesujące zależności pomiędzy przeszłymi zdarzeniami, teraźniejszymi doświadczeniami a wyobrażeniami o nieznanej, aczkolwiek możliwej, przyszłości.

Przedsiębiorstwa angażujące się w działalność CSR zazwyczaj informują o tym opinię publiczną, nie zawsze zdając sobie sprawę ze skutków takiego powiadamiania. Jako test wiarygodności może tu służyć niezależne źródło informacji. Zbyt intensywne i nachalne powiadamianie o wątpliwych inicjatywach CSR może być odczytywane jako hipokryzja. Jak wskazują wyniki badań własnych, negatywną reakcję na ogłoszenia CSR można zauważyć przede wszystkim w grupie osób o nastawieniu konserwatywnym.

Companies engaging in CSR activities usually announce about this public not always are aware of results of these messages. As a test of credibility an independent information source can be used. Too intensive and pushy notification about dubious CSR initiatives can be perceived as company hypocrisy. As the results of own studies suggests a negative response to CSR announcement can be identify particularly among people who possess conservative attitude to reality.

The aim of the article was to classify and explain the concepts connected with the broadly understood restructuring of enterprises. Within the restructuring process the following ways have been mentioned: consolidations, mergers, acquisitions, divestitures and spin-offs. Acquisitions have been divided into takeovers and buyouts. Takeovers have been divided into friendly and hostile ones. Also waves of restructuring actions have been described that have taken place in the USA since 1897 up to modern times.

The article presents a survey of active defence strategies against hostile takeovers, i.e. strategies employed when the bid has been made. The survey only relies on the English language literature of the subject, owing to the fact that most of the solutions in question originated in the United States of America. In Poland, these strategies still wait for recognition. However, as the rate of hostile takeovers on the Polish market grows, one can expect an increased interest in the relevant defensive strategies. It must also be emphasised that the implementation of a given anti-takeover measure can be subject to respective legal regulations.

Two categories of preventive tactics to ward off hostile takeovers can be distinguished: a company’s changed status and “poisoned pills”. The former category has a strictly preventive character because it serves only as deterrent for a potential hostile bidder, while the poisoned pills begin to work only when a hostile bidder buys a certain amount of shares. Changed-status tactics can be divided into a dozen categories. They are increasingly used by American public companies. Opinions about such techniques are divided. Some think that they are not in shareholders’ interest.

At the beginning basic concepts are defined and explained, and then friendly and hostile takeovers are described. The information may be interesting for the Polish reader since takeovers, especially hostile ones, ever more often occur in the Polish economic reality.

Istnieje kilka teorii opisujących działanie rady nadzorczej. Są to w szczególności: teoria hegemonii zarządu, teoria pośrednictwa, teoria uzależnienia od zasobów, teoria instytucjonalna, teoria interesariuszy, teoria włodarza, teoria hegemonii klasowej. W artykule opisano miejsce rady nadzorczej w szeroko rozumianym systemie nadzoru korporacyjnego i przedstawiono teorie opisujące jej funkcjonowanie. Sformułowano też wnioski dotyczące zakresu obowiązywania teorii w obecnym systemie nadzoru korporacyjnego w Polsce.

There are several theories describing board of directors roles. This are in particular: managerial hegemony theory, agency theory, resource dependence theory, institutional theory, stakeholder theory, stewardship theory, class hegemony theory. In the paper the position of board of directors in corporate governance system has been shown and the theories have been presented describing its roles. Some conclusions were also formulated concerning validity of presented theories in the current Polish corporate governance system.

About the humbugisation of anthropology The authors of the article assume that anthropology is constantly engaged. They wish to see research work and ethnographic transcript somewhere between the truth and fictional creation. As an alternative to anthropological studies and the trivialization of texts, they point out to a program of the discipline’s open humbugisation and its traces in the media displays. Eventually, it would be an attempt to achieve a new reflection on the subject of research and narration.

Key theories of international migrations: overview, critique and perspectivesThe article aims at critical review of the key theories of international migration. The starting point is the assumption that a critical review of theoretical literature is a necessary component of the research process, especially regarding such rapidly growing field as migration studies. The authors analyze the most important theories developed in migration studies (economic theories, structural-historical theories, migration networks and transnationalism) by pointing out their historical contexts, drawbacks and limitations. At the same time they indicate the new research perspectives, which include relations between migration theory and a broader social context as well as the dialectic of mobility and immobility. Główne teorie migracji międzynarodowych: przegląd, krytyka, perspektywyArtykuł ma na celu krytyczny przegląd głównych teorii migracji międzynarodowych. Punktem wyjścia jest założenie, że krytyczne przeglądy teoretycznej literatury stanowią niezbędny element procesu badawczego, zwłaszcza w tak żywiołowo rozwijającej się dziedzinie jak studia migracyjne. Autorzy analizują najważniejsze koncepcje wypracowane w ramach badań migracyjnych: teorie ekonomiczne, strukturalno-historyczne, sieci migracyjnych i transnacjonalizmu. Pokazują kontekst historyczny oraz wady i ograniczenia każdej z teorii wskazując nowe perspektywy badawcze: powiązania teorii migracji z szerszym kontekstem społecznym i dialektyką mobilności/braku mobilności.

Theorizing Polish migration across Europe: perspectives, concepts, and methodologiesWith the focus on the post-2004 mobility of Polish citizens, in this article we discuss two interrelated questions; namely, what are the most productive ways to theorize contemporary Polish migration, and what are the most fruitful methodologies aimed at understanding Polish migration and Poles on the move? In the first part of this article we unpack three interrelated theoretical frameworks: ‘liquid migration’, ‘regimes of mobility,’ and ‘transnationalism’. The methodological discussion in the second part of the article focuses mainly on outlining and contextualizing the most common approaches to migration phenomena. By critically introducing quantitative and qualitative methodologies, we explore and indicate the advantages of the ethnographic perspective and the merits and predicaments of research engagement in multiple sites. Polskie migracje w Europie: perspektywy, koncepcje, metodologieZ naciskiem na mobilność obywateli polskich po przyłączeniu Polski do Unii Europejskiej w 2004 roku, w niniejszym artykule staramy się odpowiedzieć na dwa powiązane ze sobą pytania: jakie są najbardziej wydajne sposoby teoretyzowania współczesnej migracji polskiej oraz jakie są najbardziej owocne metody badawcze mające na celu zrozumienie polskiej migracji po akcesji do UE? W pierwszej części artykułu przedstawiamy więc trzy powiązane ze sobą koncepcje teoretyczne: „płynna migracja”, „reżimy mobilności” oraz transnarodowość. Dyskusja metodologiczna w drugiej części artykułu skupia się natomiast głównie na przedstawieniu najczęściej stosowanej metodyki i metodologii w badaniach zjawisk migracyjnych. Wprowadzając krytyczną perspektywę na temat ilościowych i jakościowych metod badawczych, staramy się wskazać wartość poznawczą perspektywy etnograficznej oraz wady i zalety etnograficznego zaangażowania badawczego w wielu miejscach.

In the article results of studies of the relations between values recognized by consumers and their attitude towards a company’s social initiatives of are presented. The values have been examined according to the typology suggested by Schwarz. Especially the correlation has been analyzed between recognizing values that are directed to the development of the common good and values directed to one’s own development on the one hand and the consumers’ attitude toward a company’s social initiatives on the other. The studies have shown that there is a positive, statistically significant correlation between recognizing values that are directed to the development of the common good and the consumers' attitude towards social initiatives put forward by a company.
