The Value Based Management and measuring the shareholders value approaches are presented in the article. Theoretical descriptions are illustrated by case of one Polish stock company which is 'Zelmer'. Based on results of this analysis, main enterprise value determinants are presented as well.

Celem artykułu jest ocena perspektyw przystąpienia przez Polskę do UGW. Uczestnictwo Polski w UGW oznacza jeszcze pełniejsze włączenie w struktury gospodarcze UE, a tym samym zdrową i stabilną gospodarkę rynkową. Dopiero w UGW będzie możliwe uzyskanie wszystkich profitów wynikających z integracji z UE. Ponadto, stabilność gospodarcza będzie musiała zostać utrzymana w długim okresie, co oznacza konieczność prowadzenia odpowiedniej polityki gospodarczej, a w szczególności polityki pieniężnej nastawionej na stabilność cen i polityki fiskalnej, opartej na dyscyplinie finansów publicznych. Osiągnięcie przez Polskę zdrowej i stabilnej gospodarki oznaczać będzie w praktyce niską inflację, niskie stopy procentowe, równowagę budżetową państwa, rozsądne rozmiary długu publicznego itd. Niska inflacja, a dzięki temu niskie stopy procentowe to z kolei niezbędne warunki długotrwałego i zrównoważonego wzrostu gospodarczego. Przyjęcie do UGW będzie podniesieniem wiarygodności międzynarodowej Polski, ale spowoduje również konsekwencje ekonomiczne i polityczne. Polska nieodwracalnie stanie się członkiem zintegrowanej gospodarczo i politycznie Europy.

The aim of this article is to estimate the perspectives of the entrance of Poland to EMU. The participation of Poland in EMU means even more inclusion into the economic structures in EU and also healthy and stable economy market. Only in EMU shall it be possible to obtain all profits emerging from the integration with EU. Furthermore, the economic stability will have to be held for a long term, which signifies the requirement to conduct adequate economic policy, and particularly monetary policy emphasizing the stability of prices and fiscal policy based on discipline of public finances. Achieving healthy and stable economy by Poland will mean in practice low inflation, low rates of interest, balance of budget, reasonable proportion of public debt, and so on. Low inflation, effecting in low rates of interest, are indispensable conditions of long-term and balanced economic growth. The accession to EMU will raise international credibility of Poland but will also have the economic as well as political consequences. Poland will irreversibly become a member of the economically and politically united Europe.
