A sole proprietorship is the most common form of running a business. The number of enterprises operated in Poland has been growing dynamically for over 30 years. At the same time, the population of Poland is the fastest ageing society in the EU. In the light of the above, many enterprises may soon face the problem of maintain-ing business continuity in the event of death of their owners. The article attempts to evaluate the implementation of the institution of succession management of a natural person’s enterprise into the Polish legal framework one year after new solutions were offered to Polish entrepreneurs. To this end, the way how entrepre-neurs make use of this institution has been analysed.

Jednoosobowa działalność gospodarcza jest najpopularniejszą formą prowadzenia działalności gospodarczej. Od ponad 30 lat obserwowany jest dynamiczny rozwój liczby przedsiębiorstw w Polsce. Jednocześnie Polacy są najszybciej starzejącym się społeczeństwem UE. W związku z powyższym w najbliższym czasie w wielu przedsiębiorstwach może wystąpić problem z zapewnieniem ciągłości funkcjonowania podmiotów gospodarczych w przypadku śmierci przedsiębiorców. W artykule podjęto próbę oceny implementacji instytucji zarządu sukcesyjnego przedsiębiorstwem osoby fizycznej do polskiego prawa w pierwszą rocznicę wprowadzenia nowych rozwiązań dla przedsiębiorców. W tym celu dokonano analizy jej wykorzystania przez przedsiębiorców.

Currently, in Polish law there are different regulations regarding the protection of personal data of entrepreneurs depending on whether they are natural persons disclosed in the Central Register and Information on Business Activity or are other entities (capital companies, foundations, partnerships etc.), disclosed in the National Court Register. Explicit data provided by the Central Registry are generally subject to the Act of 29 August 1997 on the protection of personal data. The entities that process data contained therein must perform only certain duties. None of the provisions of the Act are applied to entrepreneurs disclosed in the National Court Register. These data are not protected by the Act if they do not apply to natural persons. The personal data of natural persons disclosed in this Register are covered by the protection of the Act, if they are used for purposes other than their identification as performing functions in commercial companies or as persons appearing in the register of insolvent debtors.

Public procurement system in Poland is based largely on the law of 29 January 2004, the Public Procurement Law (consolidated text Journal of Laws of 2013, item 907, as amended) which implements solutions applicable in the European Union procurement to the Polish legal system. It is complemented with implementing regulations to the said Act and other acts of statutory rank, such as the Law on Public-Private Partnership. Within the above-mentioned limits the contracting parties award public contracts, applying appropriate procedures depending on the nature of the contract. There is no doubt that the most commonly used is the Public Procurement Act, which has been amended several times, even in a fundamental way. A very significant regulation to the Public Procurement Act that has not been amended for many years is the Regulation of the Prime Minister on the types of documents that the contracting party may request from the contractor, and the forms in which these documents may be submitted (Journal of Laws of 2009, No. 226, item 1817). Along with another major amendment to the Public Procurement Act, the regulations of which came into force on 20 February 2013, many new norms procurement processes were introduced, which greatly contributed to the introduction of corresponding amendments to the Regulation of the Prime Minister on the types of documents that may be requested from the contractor, and the forms in which these documents may be submitted (Journal of Laws of 2013, item 231). A few months of the functioning of new regulations already allow formulation of the first comments on the effects of the regulation, however mainly negative. The aforementioned amendment to the Public Procurement Act was mainly due to the need to adapt Polish legislation on public procurement to the European Union requirements. Practitioners expected that the requirements concerning documents that can be requested from the contractor in public procurement proceedings will be organized and even simplified, in order to make the already restrictive procedures less bureaucratic. It turned out, however, that many of the proposals submitted by the authorities and economic operators, were not taken into account, making some already functioning regulations more complicated, or creating new ones which cannot be put to practice.

Many legal names of businesses do not fulfill identification functions today. The requirements, prescribed in the legal names law, to put at least a surname of a partner in the legal name of partnership may pose threats to the marketing function of the legal name, not only when the partner ceases to be a partner. Today, the entry numbers in certain registers, like the National Court Register, the Central Register and Information on Economic Activity, the Central Register of Entities - the National Register of Tax payers, and the National Register of Entities of National Economy, fulfill the identification function much more effectively than a legal name. The author supports the proposal that the law of legal names should be abandoned.

Wiele firm nie spełnia dziś funkcji identyfikacyjnych. Przewidziane w prawie firmowym wymogi umieszczania w firmach spółek osobowych co najmniej nazwiska wspólnika mogą stanowić zagrożenie dla funkcji marketingowej firmy nie tylko, gdy wspólnik ten przestanie być wspólnikiem. Dziś funkcję identyfikującą przedsiębiorcę pełnią dużo skuteczniej numery wpisu do Krajowego Rejestru Sądowego, Centralnej Ewidencji i Informacji o Działalności Gospodarczej, Centralnego Rejestru Podmiotów - Krajowej Ewidencji Podatników czy Krajowego Rejestru Urzędowego Podmiotów Gospodarki Narodowej. Autor przychyla się do propozycji rezygnacji z prawa firmowego.

The article deals with the problem of computerization of business registers from the point of view of legal acts introduced into the current Polish legal system. The authors in their considerations focus on the presentation of doubts and legal issues related to the computerization of the two most important business registers: CEIDG and the National Court Register. First and foremost, the program documents relating to the development of the information society were analyzed. In addition, the authors also referred to the key – from the potential entrepreneur’s point of view – issues related to the functioning of the ePUAP trusted profile, the CEIDG computerization and the S24 Portal connected with the registration procedure of commercial law companies.
