Niniejszy artykuł dotyczy instytucji Europejskiego Zgrupowania Interesów Gospodarczych wprowadzonego do systemu prawnego Wspólnot Europejskich rozporządzeniem Rady (EWG) nr 2137/85 z dnia 25 lipca 1985 roku w sprawie Europejskiego Ugrupowania Interesów Gospodarczych (EUIG). Opracowanie przedstawia funkcje i podstawy prawne działania Zgrupowania zarówno w prawie unijnym jak i polskim. Ponadto, porusza ono także zagadnienia związane z członkostwem oraz organami EUIG. Auto uważa, że EZIG, mimo takich słabości jak brak wyłączenia osobistej i solidarnej odpowiedzialności członków za zobowiązania zgrupowania oraz liczne odesłania do prawa krajowego, może okazać się ciekawą propozycją współpracy dla polskich przedsiębiorców i jednostek samorządu terytorialnego z ich odpowiednikami na obszarze EOG.

This article deals with the institution of the European Economic Interest Grouping which was introduced into the legal system of the European Union by the Council Regulation (EEC) No 2137/85 of 25 July 1985 on the European Economic Interest Grouping (EEIG). The article presents the origin, functions, and legal foundations for the EEIG operating in the both the EU and Polish law. It also discusses the legal character of the EEIG founding contract, problems connected with the membership, the EEIG organs. What is more, the author describes possibilities of utilizing the EEIG as a form of cooperation for Polish territorial self government units and subjects of private law in the EU. Such a possibility in the practical aspect is presented by the description of the operating EEIG called “Berlin-Gorzów railway line”.
