In the article one presented key institution for the owner’s supervision, which is the supervisory board. One discussed its essence, the construction and the way it functions. Relation between the supervisory board and the board of directors was discussed both in the theoretical and practical aspect. In the next part one presented empirical results which were done in Małopolska School of Economics in Tarnów. In the final part of the article one mainly discusses the directions of the improvement of the corporate governance for each sector of state, private and municipal.

The author of this article pays attention to one type of the administrative process, particularly to the managing administrative process. Within this scope, especially its normative part is subject - matter of the article, i.e. process of the creation of the internal normative instructions. In the first part of the article main characteristics of the internal normative instructions are described while being differentiated from the other administrative acts. In the second part, the author deals with the process of the creation of the internal normative instructions incl. their publication. In addition, the author analyses current praxis relating to this process in the activity of the public authorities; as the result he points out at the problematic findings. Further, the author tries to find out, whether it is necessary to regulate this process in more details, resp. whether it is possible to simplify current diversified approach of the public authorities. In order to contribute to the improvement of this process in quality, the author suggests certain legislative changes or changes in the day-to-day praxis of the public authorities.
