A purpose of this article is to offer a brief overview of basic institutional characteristics of third sector in Slovakia. Firstly the author focuses on the features of a legal entity. Secondly she deals with specific types of legal entities in the field of public research. Finally the author analyses the draft of new Act on Public Research Institution, which is currently in the process of approval in National Council of Slovak republic. The draft of law regulates a new type of legal entity in Slovakia – Public Research Institution, which is a public entity, whose basic activity is research, including provision of a research infrastructure. Public Research Institution may be established by central body of the state administration or the Slovak Academy of Sciences and is registered in the public Register of public research institutions kept by the Ministry of Education, Science, Research and Sport of Slovak republic. The Act on Public Research Institution will allow the transformation of the state budgetary and contributory research institutions and the Slovak Academy of Sciences institutes to public research institutions, and allow their funding to be adjusted. The Act primarily brings more freedom and greater responsibility as well as economic flexibility. Efficiency of the Act is proposed for 1st January 2018 and the date for Slovak Academy of Sciences institutes transformation for 1st July 2018.

The public research institution is the entire new form of legal entity in the law of Slovak republic. The new legislation has been designed to enable the transformation of the diverse kind of the research organization in Slovak Republic under the one new model institution, mainly aimed to Slovak Academy of Sciences. The article deals with the governance structure of the public research institution, its process of creation, scope of authority, its mutual interaction, as well as some author´s comments to the particular provisions of the new legislation.

Public research institution forms an entirely new form of legal entity within the law of the Slovak Republic. New legislation has been designed to enable the transformation of various kinds of the research organization in the Slovak Republic under the one new model institution. The article deals with those special provisions of the Act on Public Research Institutions which allow to public research institutions to set new spin-off and start-up companies, as well as to acquiring the shares in the existing companies. The author focuses on mapping and systemizing of gained knowledge on development as well as on current stage of legal regulation of this type of companies in the USA and Europe.

The legislator has established in Slovak law a new type of legal persons – public research institutions and regulated a number of distinctive specific features of the regime of their obligation relationships. The specific features of obligation relationships of public research institutions intervene into different phases of existence of obligation relationships and show different degree of generality; some personalities are subject to obligation relationships of public research institutions in general, others are only subject to certain segments of obligation relationships. The legislator has determined specific features in the regime of obligation relationships in case of the use of property of a public research institution.
