Funkcjonowanie wszelkich podmiotów na rynku finansowym, w tym funduszy inwestycyjnych, jest ściśle związane z zaufaniem publicznym. Powszechnie uważa się, iż zaufanie publiczne stanowi warunek niezbędny ich istnienia oraz należytego działania na rynku finansowym. Jednym z niezależnych podmiotów zewnętrznych, który na mocy prawa został uprawniony do pełnienia nadzoru nad funduszami inwestycyjnymi, jest depozytariusz. Głównym celem niniejszego artykułu jest przeanalizowanie i tym samym usytuowanie pozycji depozytariusza w strukturze działalności funduszy inwestycyjnych na tle regulacji prawnych dotyczących funduszy inwestycyjnych oraz wskazanie realnego wpływu depozytariusza na funkcjonowanie i bezpieczeństwo organizacyjne funduszy inwestycyjnych w ramach obowiązujących przepisów prawnych, przy uwzględnieniu przy tym ostatnio implementowanej do porządku prawnego dyrektywy UCITS V.

The functioning of all entities on the financial market, including the investment funds, is strongly related to the public trust, it is said that public trust is a prerequisite for their existence as well as operations on the financial market. One of the independent external entity that has been authorized by the law to supervise the investment funds is the depositary. The main purpose of this article is to analyse and set up the depositary’s position in the structure of investment fund activities, against the background of legal regulations concerning investment funds, and to indicate the real impact of the depository on the functioning and organizational security of investment funds under the legal regulations, taking into account the implemented directive – UCITS V.
