Elementami przedmiotowo istotnymi umowy licencyjnej są: upoważnienie do korzystania z wynalazku chronionego patentem udzielone przez uprawnionego licencjobiorcę i korzystanie przez licencjobiorcę z wynalazku w zakresie wynikającym z upoważnienia. Umowa licencyjna „kreuje stosunek szczególnego zaufania i współdziałania stron”, co ma wpływ na określanie obowiązków umownych (wykładnię umowy), a także może ograniczać zakres swobody umów. Określenie zakresu terytorialnego licencji na wzór wspólnotowy nie jest istotnym postanowieniem (essentialia negotii) umowy licencyjnej, lecz ma charakter naturalia negotii (przedmiotowo nieistotnego składnika treści czynności prawnej).

The objective elements of a licensing contract that are significant include: the entitlement to use an invention protected by a patent granted to a licensee and the use of the invention by a licensee in the scope for which the licence was granted. A licensing contract “creates a relation of special trust in and cooperation between the parties”, which influences determination of contractual obligations (contract interpretation) as well as may limit the scope of contract freedom. Determination of the territorial range of a licence following the EU pattern does not constitute an essential term (essentialia negotii) of a licensing contract but a non-essential objective element of the legal transaction content (naturalia negotii).
