The publication looks into the conflict that occurs between values protected under the Constitution of the Republic of Poland – i.e. the right to privacy and the protection of communication versus the protection of property rights – in a situation of declaration of bankruptcy. Acting pursuant to Article 176(2) of the Bankruptcy Law, the legislator has a priori given preference to the protection of property rights over the right to privacy and the protection of communication. The conflict in question has been resolved in favour of bankruptcy creditors. The legislator’s adoption of a hierarchy of values in the area of bankruptcy law does not, of course, deal with all the problems arising in the field of the conflict between these values, and does not mean that the solution chosen is in accordance with hierarchically higher norms – meaning constitutional norms. In principle, the Constitution of the Republic of Poland makes the legislator free to resolve conflicts of competing values protected under this normative act. What is important is that this conflict be resolved by the – legislator in a way that meets the requirements of Article 31(3) of the Constitution of the Republic of Poland.

Insolvency is an integral element of business and economic relations. As a result of a declaration of bankruptcy, the creditors’ interest is secured against the bankrupt estate. Insolvency may result from unsettled liabilities or excessive liabilities. Both premises are independent from each other. This paper aims to present the premises of insolvency as well as to offer recommendations and suggestions related to bankruptcy declaration. It also discusses German insolvency regulations.

Niewypłacalność jest nieodłącznym elementem prowadzenia działalności gospodarczej. W wyniku ogłoszenia upadłości, zobowiązania wobec wierzycieli zabezpieczane są z majątku firmy. Niewypłacalność może wynikać z nierozliczonych albo nadmiernych zobowiązań finansowych. Obydwie przesłanki są od siebie niezależne. Prezentowany artykuł ma za zadanie omówić przesłanki niewypłacalności, jak również zaproponować zalecenia i propozycje dotyczące ogłoszenia upadłości. Poruszone są także regulacje prawa niemieckiego dotyczące niewypłacalności.

This article discusses the effects of bankruptcy on the matrimonial property relationships of the bankrupt. The main point here is to present the basic effects in this respect, which is the creation of a compulsory property regime on the date of the declaration of bankruptcy (Article 124 paragraph 1 of the Bankruptcy Law). This regime replaces the existing matrimonial property regimes in which the bankrupt was located before the declaration of bankruptcy. As a result, the entire joint property enters the bankruptcy estate, the division of which is not allowed. It is intended to satisfy the creditors of the bankrupt. At the same time, the article presents the problem of the effectiveness of establishing the property separation before declaring bankruptcy in relation to the bankruptcy estate (Article 116, Articles 125-126 of the Bankruptcy Law). The subject of the article is also to determine the legal protection measures that a spouse is entitled to in the case of declaring his/her spouse’s bankruptcy and the subjective scope of application of this regulation.

Summary The article discusses the issue of succession of rights of the injured party in criminal proceeding in case of transformation of the legal entity into another entity. The first part of the article focuses on the definition of the injured party. The further part contains several examples of transformations of legal entities and related to the transformation – problem of succession of rights in criminal process. The author analyzes in detail the different variants of the transformation of legal persons and other organizations in order to solve recent problems in determining the subject entitled to exercise the rights of the injured party, for example, in case of disposal of the company or its transformation. Moreover, the author provides consequences of the transformation that is dependable on the way of transformation – whether the transformation was based on the universal or singular succession of the rights. The final part contains de lege ferenda demands and general principles that may be useful to court and law enforcement entities in determining the entity which should be given the status of the injured party, if it is not a natural person.

Streszczenie Artykuł omawia problematykę sukcesji praw pokrzywdzonego w postępowaniu karnym w razie przekształceń podmiotów niebędących osobami fizycznymi. Pierwsza część artykułu skupia się na definicji pokrzywdzonego. Dalsza część artykułu została poświęcona omówieniu szeregu przykładów przekształceń podmiotowych oraz związanej z nimi sukcesji praw pokrzywdzonego w postępowaniu karnym. Autorka szczegółowo analizuje różne warianty przekształceń osób prawnych i innych jednostek organizacyjnych chcąc wyjść naprzeciw współczesnym problemom w określaniu podmiotu uprawnionego do wykonywania praw pokrzywdzonego np. w razie sprzedaży przedsiębiorstwa czy przekształcenia spółki. Autorka podnosi nadto konsekwencje przekształceń podmiotowych i sukcesji praw pokrzywdzonego w zależności od tego czy przekształcenia dokonano na zasadzie sukcesji uniwersalnej, czy syngularnej. W końcowej części pracy zawarte są wnioski wraz z postulatami de lege ferenda oraz sformułowanymi zasadami ogólnymi, które mogą okazać się przydatne organom ścigania i sądowi przy określaniu podmiotu, któremu należy nadać status pokrzywdzonego, jeśli nie będzie to osoba fizyczna.
