The paper deals with the issue of protection of minority shareholder of a business company, namely a limited liability company and a public limited company. It focuses on the questions of who can be considered a minority shareholder in a business company, why it is necessary to protect a minority shareholder and what instruments to choose for this purpose. Emphasis is placed on the shareholders of so-called closely- held companies, which clearly prevail in the Czech practice.

Příspěvek se věnuje problematice ochrany menšinového společníka obchodní společnosti, konkrétně společnosti s ručením omezeným a akciové společnosti. Zaměřuje se přitom na otázky, koho lze v obchodní společnosti považovat za menšinového společníka, proč je třeba menšinového společníka chránit a jaké nástroje k tomu volit. Důraz je kladen na společníky tzv. uzavřených společností, které v české praxi jednoznačně převažují.
