The Member States should adopt and publish measures necessary to implement Directive 2019/771 on the sale of goods by 1 July 2020 and apply these from 1 January 2022. The Polish Government Legislation Centre published a draft act implementing both Directive 2019/770 and Directive 2019/771 in late December 2020. The proposal was widely criticized by the judiciary, consumer organizations and legal scholars. During a series of open seminars by the Jagiellonian University an academic proposal of an act implementing both directives was prepared. First, the article focuses on the implementation of Directive 2019/771. It aims at presenting the main weaknesses of the ministerial project which render the eventual adoption of this draft act detrimental both for private law subjects (equally consumers and sellers) and for the Polish private law system. The key objection concerns the decision to implement the directive in a separate act (Act on consumer rights of 30 May 2014) rather than within the Civil Code. The apparent obstacles for the implementation of the directive within the Civil Code are challenged. Second, the core ideas behind the academic draft are discussed, focusing on why and how Directive 2019/771 should be implemented within the Civil Code.

Legislative changes introduced during the transposition of Directives 2019/770 and 2019/771 affected the level of consumer protection in Polish law in different ways. Regulating contracts for the supply of digital content and services, introducing new criteria for compliance with the contract, expressly requiring a qualified consensus if the subject of the contract is defined as deviating from the standard, addressing the issue of update, legal defects, partial withdrawal from the contract, and the possibility of withholding payment of the price until fulfillment of obligations due to non-compliance of the item with the contract improved consumers’ protection. In contrast, introducing a hierarchy of remedies for non-conformity of sold goods and the obligation to take into account the need to promote more sustainable consumption and circular economy when interpreting the provisions transposing Directive 2019/771 have a negative impact on consumer legal position. Finally, chosen manner of transposition lead to the fragmentation of the system of liability for non-conformity with the sales contract and further fragmentation of the regulation of contracts for the supply of digital content and services.

Zmiany legislacyjne wprowadzone w ramach transpozycji dyrektyw 2019/770 oraz 2019/771 wpłynęły na poziom ochrony konsumentów w prawie polskim w sposób zróżnicowany. Poprawę sytuacji konsumenta przyniosło m.in. uregulowanie umów o dostarczanie treści i usług cyfrowych, wprowadzenie nowych kryteriów zgodności z umową, wyraźny wymóg kwalifikowanego konsensusu w przypadku określenia przedmiotu umowy jako odbiegającego od standardu, odniesienie się do kwestii aktualizacji, wad prawnych, częściowego odstąpienia od umowy oraz możliwości wstrzymania się z zapłatą ceny do czasu wypełnienia obowiązków z tytułu niezgodności rzeczy z umową. Obniżenie poziomu ochrony konsumenta z kolei spowodowane jest wprowadzeniem hierarchii uprawnień w razie niezgodności z umową oraz koniecznością uwzględnienia dążenia do wspierania bardziej zrównoważonej konsumpcji i gospodarki o obiegu zamkniętym podczas wykładni przepisów transponujących dyrektywę 2019/771. Ponadto sposób dokonania transpozycji przez polskiego ustawodawcę spowodował ponowne rozbicie systemu odpowiedzialności za niezgodność z umową rzeczy sprzedanej oraz dalszą fragmentacją regulacji umów o dostarczenie treści lub usługi cyfrowej.
