The Act on the principles of shaping wages, despite the fact that it is not a particularly extensive act, does not fall into the category of those whose provisions are easily implemented in the legal turnover. The basic problem is that the board member joins the company with a civil-legal relationship, which results in the creation of a comprehensive contract containing all issues related to the provision of the service and remuneration. The second basic element causing the provisions of the Act on the principles of wage formation to be controversial is that they omit the issue of social benefits. Observing the practice, there is no doubt that the current shape of the regulations must change. Already today one can see the efforts to amend the Act, which is reflected in the guidelines of the Chancellery of the Prime Minister addressed to the organs of State Treasury companies

Ustawa o zasadach kształtowania wynagrodzeń, mimo że nie jest aktem szczególnie obszernym, nie należy do kategorii tych, których postanowienia są łatwo implementowane w obrocie prawnym. Podstawowym problemem jest to, że członka zarządu łączy ze spółką stosunek cywilnoprawny, czego konsekwencją jest stworzenie obszernej umowy zawierającej wszystkie kwestie związane ze świadczeniem usługi oraz wynagrodzenia. Drugim zasadniczym elementem powodującym, że przepisy Ustawy o zasadach kształtowania wynagrodzeń są kontrowersyjne, jest to, że pomijają one problematykę świadczeń socjalnych. Obserwując praktykę, nie ma wątpliwości, że obecny kształt przepisów musi ulec zmianie. Już dzisiaj można zauważyć dążenie do nowelizacji ustawy, które przejawia się choćby w wytycznych Kancelarii Prezesa Rady Ministrów kierowanych do organów spółek Skarbu Państwa.
