With the increase in consumer-borrower lawsuits positively considered by the courts for annulment of the so-called “Frank loans,” banks (lenders) are looking for ways to withhold their benefit arising after the “invalidation” of the contract. One of the legal instruments enabling the debtor-creditor to withhold his performance until obtaining counterclaims is the statutory right of retention (ius retentionis) under Article 496 of the Civil Code. The problem arises, however, with qualifying a bank loan agreement as a reciprocal agreement. The aim of the article is to attempt to answer the question whether a bank loan agreement can be classified as a reciprocal agreement and to indicate between which of the benefits resulting from it there is a synallagmatic bond, and consequently whether it is possible to apply Article 496 of the Civil Code?

Wraz ze wzrostem pozytywnie rozpatrywanych przez sądy powództw konsumentów-kredytobiorców o stwierdzenie nieważności umów tzw. „kredytów frankowych”, banki (kredytodawcy) poszukują sposobów na wstrzymanie się ze swoim świadczeniem powstałym po „upadku” umowy. Jeden z prawnych instrumentów umożliwiających dłużnikowi-wierzycielowi wstrzymanie się ze swoim świadczeniem do czasu uzyskania kontr świadczenia stanowi ustawowe prawo zatrzymania (ius retentionis) z art. 496 Kodeksu cywilnego. Problem pojawia się jednak z zakwalifikowaniem umowy kredytu bankowego jako umowy wzajemnej. Celem artykułu jest próba odpowiedzi na pytanie czy umowę o kredyt bankowy można zakwalifikować jako umowę wzajemną oraz wskazanie pomiędzy którymi ze świadczeń z niej wynikających istnieje więź synallagmatyczna, zaś w konsekwencji czy można w przypadku wzajemnych rozliczeń stron stosować art. 496 Kodeksu cywilnego?
