Przedmiotem artykułu jest przedstawienie najważniejszych zmian wprowadzonych przez rozporządzenie dotyczące wyłączeń grupowych dla porozumień transferu technologii z 17 kwietnia 2015 r. Omówienie rozporządzenia poprzedza analiza unijnego wyłączenia grupowego, które stanowi wzór dla polskiej regulacji oraz towarzyszących mu Wytycznych. Artykuł wskazuje zagadnienia, na które strony zawierające porozumienia transferu technologii powinny zwrócić szczególną uwagę ze względu na specyfikę rynku nowych technologii. Nowe rozporządzenie wymaga szczegółowej analizy, stąd opisane zagadnienia mogą pomóc uniknąć potencjalnych przeszkód czekających na nieostrożnych.

The aim of this paper is to analyze key changes introduced by the new Polish Technology Transfer Block Exemption Regulation (BER) of 17 April 2015. A year earlier, on 21 March 2014, the European Commission adopted its own revised Technology Transfer BER as well as accompanying Guidelines. The article briefly discusses the scope and structure of the EU BER since the new Polish legislation is modeled on EU rules. The paper identifies also which factors should be considered in particular by undertakings entering into technology transfer agreements in light of the special characteristics of these markets. The Polish BER requires a thorough analysis and so the issues discussed in this article may help interested parties to assess whether their agreements satisfy the requirements of the Polish BER.

The geopolitical face of Europe, and in particular its economic situation, has been significantly influenced over the past century by the cooperation of Europe's largest power, Germany, with the Soviet Union, which constitutes a raw material and industrial base and a huge market. The purpose of the article is to explain the scale and forms of this cooperation at the peak of its intensification, namely in the 1970s. The author considered various forms of this cooperation, from trade through production cooperation combined with scientific and research cooperation, taking place within the framework of joint long-term production and trade contracts and licensing agreements, which are an important form of technology transfer. The article also presents the institutional and legal framework of cooperation, explaining the reasons for its intensification and impact on economic development. These are related, among other things, to the complementary nature of the two economies and result from the economic calculus. This situation has not changed to this day, which, among other things, explains the behavior of the German government in relation to the war in Ukraine.

Na geopolityczne oblicze Europy, a w szczególności na jej sytuację gospodarczą, istotny wpływ w ciągu minionego wieku miała współpraca największego mocarstwa europejskiego, czyli Niemiec, ze Związkiem Radzieckim stanowiącym zaplecze surowcowe, przemysłowe oraz ogromny rynek zbytu. Celem artykułu jest wyjaśnienie skali i form tej współpracy w szczytowym okresie jej nasilenia, czyli w latach 70-tych. Autor uwzględnił różnorodne formy tej współpracy, od wymiany handlowej przez kooperację produkcyjną połączoną ze współpracą naukowo-badawczą, odbywającą się w ramach wspólnych, długoterminowych kontraktów produkcyjno-handlowych oraz porozumień licencyjnych stanowiących ważną formę transferu technologii. W artykule przedstawiono także instytucjonalno-prawne ramy współpracy, wyjaśniając przyczyny jej intensyfikacji i wpływ na rozwój gospodarczy. Są one związane m.in. z komplementarnym charakterem obu gospodarek i wynikają z rachunku ekonomicznego. Sytuacja ta trwa do dzisiaj co m.in. tłumaczy ambiwalentny stosunek Niemiec do trwającej wojny na Ukrainie.

Dążąc do uzupełnienia istniejącej luki w wiedzy przeprowadzono cykl badań, których fundamentalnym celem jest ocena wiedzy dotyczącej prawnych aspektów nowoczesnych technologii reprezentowanej przez polskich menedżerów i właścicieli przedsiębiorstw produkcyjnych działających w sektorze maszyn rolniczych. Główny ciężar badania w ramach prezentowanego obszaru został położony na analizę desk research, obejmującą dostępne źródła literaturowe oraz debatę ekspercką podejmującą tematykę prawnych aspektów nowych technologii. W celu przeniesienia przedmiotowego zagadnienia na poziom sektora maszyn rolniczych i oceny rozbieżności pomiędzy poziomem postulowanym a stanem obecnym w analizie wykorzystano wyniki badania przeprowadzonego w dobranej celowo grupie przedsiębiorstw, w ramach którego ankietowani udzielali odpowiedzi odnośnie do antycypowanego poziomu wiedzy dotyczącej prawnych aspektów nowych technologii. Badanie to stanowiło punkt wyjścia do zdefiniowania luki w zakresie przyswojenia (samoocena) zaprezentowanych w modelu badawczym mikrofundamentów menedżerskiej wiedzy prawnej zorientowanej na nowe technologie.

In order to fill the existing knowledge gap, a series of studies was carried out, the fundamental aim of which is to assess the knowledge of the legal aspects of modern technologies represented by Polish managers and owners of production companies operating in the agricultural machinery sector. The main burden of the research within the presented area was put on desk research analysis covering the available literature sources and an expert debate on the subject of legal aspects of new technologies. In order to transfer the subject matter to the level of the agricultural machinery sector and to assess the discrepancy between the postulated level and the current state, the analysis used the results of a study conducted among a deliberately selected group of enterprises, in which the respondents provided answers regarding the anticipated level of knowledge regarding the legal aspects of new technologies. This study was a starting point for defining the gaps in the assimilation (self-assessment) of the microfoundations of new technology-oriented managerial legal knowledge articulated in the research model.
