Głównym celem artykułu jest udowodnienie tytułowej tezy, zgodnie z którą interpretacja prawnicza może być postrzegana jako działanie optymalizacyjne, ponieważ jest to działanie, które nieuchronnie zmierza do maksymalizacji wartości przedmiotu interpretacji (tekstu prawnego). Ponadto, pragnę wykazać, że zarówno interpretacja prawnicza, jak i interpretacja filozoficzna mają wspólne cechy, takie jak intuicyjność, przez którą rozumiem niemożliwość stosowania empirycznych kryteriów prawomocności formułowanych twierdzeń. Zarówno w przypadku interpretacji prawa, jak i poznania filozoficznego interpretacja pełni funkcję optymalizacyjną, przez którą rozumiem ujawnianie aksjologicznego ładu w przedmiocie poznania.

The purport of the article consists in defending the thesis clearly defined in the title of elaboration, according to which, legal interpretation may be conceived as an optimising activity, because it inevitably aims at maximising the value of the subject of interpretation (legal text). Moreover, I tend to point out that legal interpretation as well as philosophical cognition share a set of common traits such as intuitiveness, by which I mean the lack of opportunities to fully apply inter-subjective empirical criteria of the validity of formulated propositions. Both in the case of legal interpretation and philosophical cognition, interpretation performs an optimising function, by which I understand introducing axiological order into the subject of cognition.

W artykule poruszono problem apropriacji w relacjach międzyorganizacyjnych. Celem publikacji jest usystematyzowanie wiedzy na temat apropriacji wartości poprzez wyjaśnienie tego zjawiska oraz jego dogłębne rozpatrzenie z perspektywy różnych nurtów i teorii. Publikacja ma również odpowiedzieć na pytanie, w jakim stopniu apropriacja wartości jest częścią procesu tworzenia wartości. Artykuł ma charakter teoretyczno-koncepcyjny. Zastosowano metodę analizy literatury światowej (polsko- i anglojęzycznej), metodę modelową, metodę wizualizacji oraz metodę dedukcji. Skorzystano z baz publikacji EBSCO, BazEkon, Proquest, Elsevier, Jstor, Wiley i Emerald. W pierwszej części artykułu wyjaśniono pojęcie apropriacji wartości w organizacji oraz przedstawiono model przechwytywania wartości (ang. Value Capture Model), a także wywodzącą się z niego mapę sieci wartości (ang. Value Network Map). W dalszej części artykułu omówiono istotę apropriacji wartości. Poddano również rozważaniom pojęcie mechanizmów apriopriacji wartości z perspektywy wiodących nurtów w zarządzaniu relacjami międzyorganizacyjnymi.

The article tackles the problem of appropriation in interorganizational relations. The aim of the publication is to systematize the knowledge on the subject of value appropriation by means of explaining this phenomenon and considering it thoroughly from the perspective of various trends and theories. The publication is also supposed to answer the question to what extent value appropriation constitutes the part of the value creation process. The article is of a theoretical and conceptual nature. The methods which have been applied are as follows: the analysis of the literature worldwide (in both Polish and English language), the model method, the visualisation method, as well as the method of deduction. EBSCO, BazEkon, Proquest, Elsevier, Jstor, Wiley and Emerald databases were used. In the first part of the article the notion of value appropriation in the organization was explained, as well as Value Capture Model, and Value Network Map, which derives from it, were presented. In the further part of the article the significance of value appropriation was discussed. Moreover, the notion of value appropriation mechanisms was subject to considerations from the perspective of the leading trends in interorganizational relations management.
