Wpływ ustawowych regulacji na standardy nadzoru korporacyjnego w spółdzielniach mieszkaniowych

The article is portraying the influence of statutory regulations on corporate governance standards and management processes in housing cooperatives. The fragmentary research problems refer to problems dealing with direct participation in the general meeting of members, negative consequence of accumulating positions in bodies of the cooperative and deeply analyses discussing fundamental question: why the state is tolerating the housing cooperatives which do not have adapted articles of association to the law in force? The author identifies and describes the basic law regulation which provides positive impact on corporate governance standards and should be ruthlessly warned in practice due to the Act of law and Constitution of the Republic of Poland.

W artykule omówiono wpływ ustawowych regulacji na standardy ładu korporacyjnego i procesy zarządcze w spółdzielniach mieszkaniowych. Cząstkowe problemy badawcze odnoszą się do zagadnień związanych z prawem uczestnictwa w walnym gromadzeniu, negatywnych implikacji wynikających z dualizmu ról pełnionych w organach spółdzielni, a także obejmują wnikliwe analizy przybliżające do udzielenia odpowiedzi na fundamentalne pytanie: dlaczego państwo toleruje funkcjonowanie spółdzielni, które nie dostosowały statutów do obowiązującego prawa. Autor omawia przepisy ustawowe, które pozytywnie oddziałują na standardy korporacyjne jednocześnie akcentując, iż winny one być bezwzględnie przestrzegane w świetle zapisów Konstytucji Rzeczypospolitej Polskiej.
