The Polish society has perceived privatization as an issue of special importance which enables a free market economy in a short time. Privatization has always raised hopes and expectations. It is the lack of experience in the field of ownership transformations, the level of their complexity and the economic, legal, psychological and other conditionings that have confronted those transformations with many hindrances. They have also raised numerous moral and ethical dilemmas among the staff of privatized companies and founding organs including the staff of the Voivodship Council of Łódź. The decisions of the Working Board of one company about the future path of privatization have raised concerns among the staff uncertain of the fate of their place of work. In such cases the voice of the staff, which previously contributed to the company’s financial status, has always been decisive when choosing the path of privatization; this concerns mostly workers’ partnerships. It was John Paul II’s words about people of conscience who are needed in Poland, which were said in Skoczów, that were crucial for privatization decisions by the Voivodship Council of Łódź.

The development and the resultant growth in the value of a company is achieved, among other things, by changing its equity structure. Ownership transformations, which have an impact on changes in company equity structure, should be given a required shape, character and pace; these transformations, therefore, should be controlled competently. Consequently, privatisation will be treated as a basic element of ownership transformation and as a factor responsible for changes in company equity structure. Research into three forms of capital at the Rzeczpospolita daily’s largest companies suggests that private capital, foreign capital included, is clearly prevalent. It has constantly, though unsteadily, been increasing its predominance over state capital.

Changes in the socio-economic system initiated at the beginning of the 1990s affect both the micro- and macroeconomic sphere of economy. Solutions adopted in the stabilisation package, and related to the monetary policy in particular, exerted an enormous influence on enterprises. Price liberation, an introduction of internal convertibility with a currency devaluation, and above all making interest rates real resulted in a deterioration of the economic situation of businesses and forced them to undertake reform actions. One of the most important changes was privatisation of large manufacturing enterprises. The aim of the paper is to assess the economic situation of large public and private enterprises between 1990 and 2004. This analysis should make it possible to respond to the question whether it is private or public enterprises which can better adapt to market mechanisms. The paper presents comparable analyses of the values of the basic profitability, liquidity and debt ratios.

This paper presents structural changes that took place in Poland after 1989, and which enabled its transition from a centrally planned economy to a market economy. The deep and thorough legal, economic and social reforms undertaken in that period made it possible, after years of communist rule, to shape a new, democratic system. The systemic transformation was possibleowing to some basic amendments to the Constitution, including the articles defining the essence of ownership and the duty to respect it, as well as the adoption of other legal acts necessary to re-define ownership relationships (such as the law on commercialisation and privatisation of state-owned enterprises, or the law on the management of agricultural property). The concurrent reforms of the banking system and the monetary and credit policy enabled inflow of foreign capital and development of private entrepreneurship. As a result of the transformations of the past 25 years, Poland is now a democratic state and a member of the European Union, while Polish economy is getting increasingly competitive. Sadly enough, despite these substantial structural transformations in the ownership sphere, in the last quarter of the century Poland has continued to be unable to resolve the problem of returning to the lawful owners the property taken by the communist regime.
