W artykule przedstawiono przemiany zachodzące w strukturze społeczno-gospodarczej przed połączeniem miasta i gminy Zielona Góra. Na tej podstawie, a także biorąc pod uwagę analizę założeń współczesnych przekształceń miast, wskazano na przesłanki podjętego procesu integracji tych dwóch jednostek administracyjnych. Podjęto także próbę społecznej oceny efektów połączenia po okresie trzech lat. W analizie wzięto pod uwagę opinie mieszkańców oraz zmiany w strukturze rozdysponowania środków finansowych na terenie gminy.

The article presents the changes taking place in the socio-economic structure before the merger of the city and the commune of Zielona Góra. On this basis, as taking into account an analysis of the assumptions of contemporary urban transformations, the indications of the integration process of these two administrative units were presented. An attempt was also made to publicly assess the effects of the merger after 3 years. The analysis took into account the opinions of residents and changes in the structure of allocation of financial resources in the commune.

Zapomnieliśmy, jaka jest zasadnicza natura dzieciństwa. Dorosły nie odkrył jeszcze, że tracąc zdolność zabawy, dojrzałość osiąga ponownie jak „dziecko”. Ono bowiem poddaje się potrzebie nieustępliwego wchodzenia w konflikty, zachłannie i kurczowo próbując zawładnąć światem. Miłość jest fundamentem dla zabawy pierwotnej i dla optymalnego uczenia się. Dziecięca zabawa pierwotna ukazuje, że poczucie dobroci jest jednym z najważniejszych odkryć w naukach neurologicznych; jesteśmy zaprogramowani na połączenie się. Kochający mózg służy jako baza zarówno dla naszego długoterminowego biologicznego przeżycia, jak i dla naszego rozwoju kulturowego. Taki prospołeczny mózg wytwarza inny rodzaj struktur emocjonalnych i alternatywną, bezpieczną fizycznie reakcję, którą odpowiada na świat. Używając tych nowych fizycznych i emocjonalnych umiejętności, stwarzamy odmienny rodzaj relacji międzyludzkich.

We have forgotten the essential nature of childhood. Such an adult has not discovered that in their loss of playfulness maturity is only reached by becoming once again like a child who gives up the need of relentless conflicting, grasping and clinging in an attempt to coerce the world. Love is the basis for original play and optimal learning. Children’s original play demonstrates that this sense of kindness is one of the most important discoveries in neuroscience; we are hardwired to connect. A loving brain becomes serves as the basis both for our long range biological survival and for our cultural advancement. Such a prosocial brain creates a different emotional framework and an alternative safe physical response with which to receive the world. With these new physical and emotional skills we create different kind of relationships.

This short outline of the situation of the division between Orthodox denominations in the Ukraine can for instance to a little extent help to understand the scale of the problem. With essential building blocks so to speak increasing the crisis and mutual opposing are both current political conditioning in the country and aspiration of individual community to uniting various criteria on the base completely. However the biggest barrier in seeking, particularly Orthodox sides for communicating of community „noncanonical”, an excessive concentration constitutes on the own role and effects of the future unification. However the hostile UCP PM attitude towards the initiative in joining separate orthodox entities and creating the Orthodox autonomy in the Ukraine is making still taking ineffective.

Ten krótki zarys sytuacji podziału między prawosławnymi wyznaniami na Ukrainie może choćby w niewielkim stopniu pomóc zrozumieć skalę problemu. Istotnymi elementami składowymi niejako nasilającymi kryzys i wzajemne się przeciwstawienie są zarówno obecne uwarunkowania polityczne w kraju oraz dążenie poszczególnych wspólnot do zjednoczenia na podstawie całkiem różnych kryteriów. Jednak największą barierę w dojściu do porozumienia stron, szczególnie prawosławnych wspólnot „niekanonicznych”, stanowi zbytnia koncentracja na własnej roli i efektach przyszłego zjednoczenia. Z kolei nadmiernie zdystansowany i nieprzyjazny stosunek UCP PM wobec inicjatywy połączenia odrębnych podmiotów ortodoksyjnych oraz utworzenia autokefalii prawosławnej na Ukrainie czyni wciąż przedsięwzięcie nieskutecznym.

Carnival is a space of play where you are at once earthly and divine. We are born to this culture, writing our narratives in song, dress, tradition and spirit. As Trinidadians, we embed our lives, our creativity, and our souls into this sacrament. And every year it blesses our people with inspiration, solace and liberation. The theoretical premise of this paper combines social constructivism and Mikhail Bakhtin’s dialogism, heteroglossia, and chronotope to investigate aesthetic architecture within the Trinidadian carnivalesque (mas). A series of narrative interviews were conducted with Carnival band leader Valmiki Maharaj and visual artist Jackie Hinkson, gathering core meanings, intentions, and processes of creation attached to the Trinidadian brand of Carnival. This work highlights the aesthetic manifestations of reflection, creation, and connection as represented in murals, costuming, and carnival accoutrements, whilst acknowledging the cultural and historical frameworks that support these structures.

Karnawał to przestrzeń zabawy znaczeniami, w której jest się jednocześnie ziemskim i boskim. My, Trynidadczycy, urodziliśmy się w tej kulturze, a następnie pisaliśmy nasze opowieści pieśnią, strojem, tradycją i duchem. To w sakramencie karnawału osadzamy nasze życia, naszą kreatywność i nasze dusze. I każdego roku błogosławi nas on inspiracją, koi i wyzwala. Teoretyczne założenia artykułu łączą społeczny konstruktywizm z opisanymi przez Michaiła Bachtina dialogicznością, heteroglosją i chronotopem w celu zbadania architektury estetycznej trynidadzkiej karnawalizacji (mas). W tekście przedstawiono rezultaty serii wywiadów narracyjnych z liderem zespołu karnawałowego Valmikiem Maharajem i artystą wizualnym Jackiem Hinksonem na temat podstawowych znaczeń, intencji i procesu tworzenia związanych z trynidadzkim gatunkiem karnawału. Opracowanie podkreśla estetyczne przejawy refleksji, kreacji i połączeń na podstawie murali, kostiumów i scenografii karnawału, równocześnie uznając kulturowe i historyczne ramy, które podtrzymują te struktury.

The impact of deferred tax on company valuations in the case of mergers

The aim of the paper is to fill the gap in the literature related to the disclosure of relevant deferred tax value in accounting under a merger in relation to the valuation of the participating companies. Apart from a description, methods of analysis, synthesis, and comparison are used in this paper as well. The model example shows possible methods of accounting solutions and their influence on the value of assets with a different approach to this solution. Non-disclosure of deferred tax in the opening balance sheet could have a negative impact on the economic decision-making of the acquiring company. The aim of this paper is also to raise the debate at the international level about the extent to which deferred tax should be reflected in the expert valuation of companies or whether it is a purely accounting problem.

Celem artykułu jest wypełnienie luki w literaturze w zakresie sprawozdawczości finansowej dotyczącej ujawnień wartości odroczonego podatku dochodowego w związku z wyceną spółek po połączeniu. W artykule, oprócz opisu, wykorzystano również metody analizy, syntezy i porównania. Zamieszczony w artykule przykład przedstawia możliwe sposoby rozliczania odroczonego podatku dochodowego w kontekście ich wpływu na wartość aktywów. Nieuwzględnienie podatku odroczonego w bilansie otwarcia mogłoby mieć negatywny wpływ na decyzje ekonomiczne spółki przejmującej. Celem artykułu jest również wywołanie międzynarodowej debaty w zakresie tego, czy odroczony podatek dochodowy powinien być odzwierciedlany w wycenie wartości przedsiębiorstw, czy jest to problem wyłącznie księgowy.

The present article focuses mainly on the conditions and essential circumstances of the processes of mergers and acquisitions of banks in Poland. The need for consolidation in the Polish banking sector results, first of all, from the capital weakness of Polish banks, disadvantageous distribution of capital resources, shortage of large banks, as well as from the changes on the financial services market and benefits that come together with the process of mergers and acquisitions of banks. The analysis presented in the article shows the need to continue the consolidating process of the banking sector in Poland.

Consumers versus Entrepreneurs through the lens of a rate of the after-sales service The article delves into preliminary questions to the Court of Justice of the European Union posed by the Landgericht in Stuttgart in the case Zentrale zur Bekämpfung unlauteren Wettbewerbs Frankfurt am Main e.V against Comtech GmbH. The author refers to a recent opinion of Maciej Szpunar, the Advocate General. The introductory part of the paper starts with the in-depth study of EU and Germany’s regulations due to their application in the case at issue. The crucial issue is to decide whether arranging higher fees by entrepreneurs - as far as off-premises or distance contracts are concerned — is proceeding in accordance with the Directive of the European Parliament and the Council 2011/83/UE. Then the author adumbrates the factual circumstances presented by the Advocate General, comments them and — by detailed analysis, indicates staples of the case. Afterwards the author contemplates widely understood legal implications. Finally, compensation claims are taken into consideration.
