Artykuł zawiera ocenę praktycznej implementacji zmian w zakresie polityki kontroli koncentracji deklarowanych w czasie praz nad ustawą o ochronie konkurencji i konsumentów w 2007 r. Ich celem było zredukowanie ilości spraw koncentracyjnych prowadzonych przez Prezesa Urzędu Ochrony Konkurencji i Konsumentów i umożliwienie mu skupienia się wyłącznie na koncentracjach mających znaczący wpływ na konkurencję. Autor podejmuje próbę analizy prawnych i organizacyjnych przyczyn powodujących wzrost ilości postępowań koncentracyjnych, wbrew zamierzeniom legislatora. Ocenia także, jak zwiększona ilość postępowań koncentracyjnych wpływa na jakość postępowań i decyzji koncentracyjnych. Artykuł odwołuje się także do możliwej przyszłej reformy w zakresie polityki i procedury kontroli koncentracji sygnalizowanej przez Urząd Ochrony Konkurencji i Konsumentów.

The article assesses the practical implementation of a number of policy changes declared during the formulation of the Act on Competition and Consumer Protection 2007 with respect to the control of concentrations. The focus of these changes was to reduce the number of merger proceedings conducted by the Polish competition authority allowing it to focus on transitions with a signifi cant impact on competition only. The author analyzes the legal and organizational reasons causing an actual rise in Polish merger proceedings – a trend which is in fact contrary to the intentions of the legislator. Assessed is also how the increased number of merger proceedings affects the quality of the proceedings themselves as well as the quality of the resulting decisions. The article refers also to the currently envisaged reform of Polish policy and procedure on the control of concentration as signaled by the competition authority.

Artykuł dotyka zagadnienia proponowanych założeń zmian w zakresie prawa kontroli koncentracji w Polsce. Z uwagi na fakt, że organ antymonopolowy – Urząd Ochrony Konkurencji i Konsumentów (UOKiK) oficjalnie zaprezentował główne założenia zmian, autor opisując podstawowe propozycje zmian konfrontuje je z dotychczas formułowanymi przez urzędników podczas oficjalnych konferencji kierunkami zmian w prawie kontroli koncentracji. Dodatkowo autor zestawia postulaty zmian z uprzednio opublikowaną przez organ antymonopolowy Polityką konkurencji w latach 2011-2013. Finalnie, uwzględniając pojawiające się głosy praktyki i nauki w aspekcie proponowanych zmian, autor podejmuje próbę oceny mocnych oraz słabych stron postulowanych rozwiązań. Na zakończenie zostanie przedstawiona ogólna ocena proponowanych zmian przez UOKiK.

The article deals with the issue of proposed changes in the merger control law in Poland. Due to the fact that the competition authority – the Office of Competition and Consumer Protection (OCCP) has officially launched the main objectives of the changes, the author, by describing the basic proposals of changes, confronts them with the previously formulated changes by officials during the conferences. In addition, the author describes the proposed changes in relation to the previously published by the competition authority the Competition policy in 2011-2013. Finally, taking into account emerging voices of the practice and academia in terms of the proposed changes, the author attempts to assess the strengths and weaknesses of the envisaged solutions. At the conclusion the overall assessment of the proposed changes by the OCCP will be presented.
