Spór o dopuszczalność zabezpieczenia powództwa o zaskarżenie uchwały wspólników spółki kapitałowej poprzez zawieszenie postępowania rejestrowego

Celem artykułu jest zbadanie dopuszczalności prawnej zabezpieczenia powództwa o uchylenie lub stwierdzenie nieważności uchwały wspólników spółki kapitałowej poprzez zawieszenie postępowania rejestrowego. Analizie poddano przepisy kodeksu postępowania cywilnego dotyczące zabezpieczania roszczeń (w tym zmienione brzmienie art. 755 § 1 pkt 3 k.p.c.) oraz możliwość wpływu sądu procesowego na postępowanie przed sądem rejestrowym. Szczególny nacisk położono na problem wzajemnych relacji pomiędzy postępowaniem zabezpieczającym (art. 755 § 1 k.p.c.) a uprawnieniem sądu rejestrowego do samodzielnego zawieszenia prowadzonego przez siebie postępowania (art. 249 § 2 i art. 423 § 1 k.s.h.).

The subject of the article is the analysis of the legal admissibility to suspend the registration proceedings as a way of securing claims for repeal or declaring invalidity of resolutions adopted by the ownership bodies of companies. This study refers to the problem of legal interpretation the amended regulations of the Code of Civil Procedure and the power of civil court to influence the registration proceedings. Special emphasis has been also given to the issue of the interaction between the proceedings to secure claims (see Art. 755 § 1 of the Code of Civil Procedure) and the power of the court of registration to suspend its own registration proceedings (see Art. 249 § 2 as well as Art. 423 § 1 of the Commercial Companies Code).

Artykuł jest omówieniem aktualnej problematyki zabezpieczenia roszczeń dochodzonych przed sądem polubownym w Polsce. Autorka wskazuje dwa możliwe sposoby uzyskania zabezpieczenia — przed sądem polubownym i przed sądem państwowym, omawiając przy tym wymagania stawiane przez kodeks postępowania cywilnego lub wybrane regulaminy sądów arbitrażowych. Przedstawione zostały także możliwe problemy, jakie implikuje uzyskanie zabezpieczenia roszczeń przed sądem polubownym oraz opis procedury uzyskania zabezpieczenia w omawianych trybach. Ponadto zasygnalizowano charakter odpowiedzialności za szkodę spowodowaną wykonaniem zabezpieczenia. W podsumowaniu autorka wskazała, który z trybów uzyskania zabezpieczenia roszczeń w aktualnym stanie prawnym kształtuje się najbardziej korzystanie dla poszukującego tymczasowej ochrony prawnej.

The article discusses the current issue of securing claims asserted before an arbitration court in Poland. The author points to two possible methods for securing claims: before an arbitration court and a state court, discussing at the same time the requirements of the Civil Procedure Code or selected arbitration court regulations. Potential problems of securing claims before an arbitration court and a summary of the procedure for securing claims in the discussed modes have also been raised. In addition, the nature of liability for damages caused by the execution of security has been mentioned. The author has also indicated which of the methods of obtaining claim security in the current legal status is the most advantageous to a person seeking injunction.

The Act of 7 April 2017 on amending certain acts to facilitate the recovery of receivables has, among others, facilitations in securing claims. The amendment introduced in this regard concerns, in particular, the prejudice of the legislator to the effect of the invalidity of a legal transaction carried out contrary to the security provided (added Articles 7523a and 7564 of the Code of Civil Procedure). The article presents the legal status existing before and after the entry into force of the law. In the previous legal status, there was no provision regulating this issue, which caused numerous disputes in the doctrine and jurisprudence regarding the nature of sanctions. In the current legal status, this dispute has been resolved by normalizing expressis verbis in the Code of Civil Procedure of the eff ects of violation of the prohibition on the sale or encumbrance of a real estate or cooperative ownership right to a flat.

Ustawa z dnia 7 kwietnia 2017 r. o zmianie niektórych ustaw w celu ułatwienia dochodzenia wierzytelności dokonała m.in. ułatwień w zabezpieczeniu roszczeń. Wprowadzona w tym zakresie nowelizacja dotyczy w szczególności przesądzenia przez ustawodawcę skutku nieważności czynności prawnej dokonanej wbrew udzielonemu zabezpieczeniu (dodany art. 7523a i 7564 k.p.c.). Artykuł przedstawia stan prawny istniejący przed i po wejściu w życie powołanej ustawy. W poprzednim stanie prawnym brak było przepisu regulującego tę kwestię, co powodowało liczne spory w doktrynie i orzecznictwie co do charakteru sankcji. W obecnym stanie prawnym spór ten został rozwiązany poprzez unormowanie expressis verbis w kodeksie postępowania cywilnego skutków naruszenia zakazu zbywania lub obciążenia nieruchomości lub spółdzielczego własnościowego prawa do lokalu.

There is a special legal mechanism in Polish environmental law for covering possible future claims. The general idea behind this mechanism is to secure claims which might arise as a result of activities that may potentially negatively impact the environment. This article assesses whether the mechanism constitutes a homogeneous legal institution throughout Polish environmental law. To this end the author analyzes and compares the respective regulations contained in the various laws on the environment. Detailed analysis of the laws providing for the financial assurance mechanism reveals that the mechanism is not consistently regulated and that at least two main models exist, with variations occurring on specific points. Moreover, in many cases there is confusion on fundamental issues such as the kind of claims which are assured.
