Ustawa o spółdzielniach rolników wprowadziła możliwość zbycia udziału w spółdzielni rolników przez ustępującego członka. Poza spółdzielnią europejską (SCE) spółdzielnia rolników stanowi jedyną w polskim prawie spółdzielczym spółdzielnię, w której możliwe jest zbycie przez członka udziału na rzecz innego członka lub osoby nabywającej członkostwo. Analiza przepisów ustawy o spółdzielniach rolników prowadzi do wniosku, że udział w spółdzielni rolników stanowi ekspektatywę (prawo podmiotowe tymczasowe) roszczenia o zwrot dokonanej na jego poczet wpłaty. Umowa zbycia udziału w spółdzielni rolników ma charakter konsensualny i kauzalny oraz wywołuje skutek zobowiązująco–rozporządzający, chyba że strony postanowią inaczej.

The Act on farmers' cooperatives introduced the possibility of transferring a share by a resigning member. Apart from the regulation of the European Cooperative Society (SCE) the farmers’ cooperative Act is the only case in the Polish cooperative law of the transferability of shares in the cooperative. Share in a farmers' cooperative constitutes the claim for a refund of the payment made against it. A share may be transferred only to another member of the cooperative or to the person acquiring the membership. The share purchase agreement in the farmers' cooperative is consensual and causal. Sales obligation transfers the share unless the parties decide otherwise, i.e. to transfer the share as a result of a separate agreement.

Artykuł przedstawia nową instytucję prawną w prawie spółdzielczym, jaką stanowi ustalenie liczby udziałów. Instytucja ta funkcjonuje w spółdzielniach rolników oraz w spółdzielni energetycznej. Jej obowiązywanie wiąże się ze szczególnym charakterem prawnym udziałów w tych spółdzielniach, który wyraża się w możliwości ich zbycia. Uchwała walnego zgromadzenia spółdzielni o ustaleniu liczby udziałów stanowi zdarzenie prawne skutkujące zbyciem udziału w spółdzielni rolników lub w spółdzielni energetycznej. Podstawę określenia przysługującej członkom liczby udziałów stanowi stosunek zbytych przez członka do nabytych przez spółdzielnię od wszystkich członków produktów lub grup produktów, czy też energii elektrycznej, ciepła lub biogazu.

The article presents a new legal institution in cooperative law, which is the determination of the number of shares. This institution applies to farmers' cooperatives and an energy cooperative. Its application is related to the specific legal nature of the shares in these cooperatives, which is expressed in the possibility of their sale. The resolution of the general meeting of the cooperative to determine the number of shares is a legal event resulting in the sale of a share in a farmers' cooperative or an energy cooperative. The basis for determining the number of shares that members are entitled to is the ratio of sold by the member and acquired by the cooperative products or groups of products, or electricity, heat or biogas.
