Przedstawiono wybrane prawne zagadnienia dotyczące spółdzielni, w tym organizacji i kwestii podatkowych. Dodatkowo zaprezentowano dane statystyczne oraz wskazano kierunki działalności spółdzielni funkcjonujących w rolnictwie i na terenach wiejskich w wybranych krajach Europy Zachodniej, w szczególności we Francji, Niemczech i Danii. W pierwszych dwóch państwach istnieją odrębne ustawy dotyczące spółdzielczości, gdy tymczasem w Danii odnotować należy Akt o Przedsiębiorstwach Handlowych, wspólny dla wszystkich rodzajów podmiotów gospodarczych. Informacje na temat spółdzielni w tych systemach prawnych mogą być pomocne w procesie tworzenia zarówno nowej ustawy Prawo spółdzielcze, jak i przy modernizacji struktur spółdzielczości wiejskiej oraz określeniu kierunków jej rozwoju w Polsce.

The paper presents selected legal issues concerning cooperatives, including their organization and taxation. Additionally, it shows statistical data and indicates the directions of activities of cooperatives operating in agriculture and rural areas in selected countries of Western Europe, particularly in France, Germany and Denmark. The first two countries have a separate legislation concerning cooperatives, while in Denmark a unique Act on trading companies, common to all types of businesses entities, is in force. The information on regulation of cooperatives in foreign legal systems may be helpful in the process of creating both a new Cooperative Law and in the modernization of rural cooperative structures as well as in the process of determining the directions of their development in Poland.

W artykule przedstawiono ideę i istotę rolniczych spółdzielni produkcyjnych (RSP) oraz dokonano charakterystyki tych podmiotów ze względu na przedmiot działalności, stan ilościowy i przestrzenne rozmieszczenie w Polsce. Dokonano również przeglądu modeli spółdzielczości rolniczej w wybranych krajach Unii Europejskiej oraz wskazano możliwości ich adaptacji do polskich warunków. W opracowaniu opisano również szanse rozwoju działalności rolniczych spółdzielni produkcyjnych wynikające z przynależności do grup producentów rolnych.

The article presents the idea and and the profile of agricultural productive cooperatives with regard to the object of their activity, their numbers and their spatial distribution in Poland. The article mentions also the organizational models of cooperativism in some EU countries and shows the possibility of their adaptation into Polish conditions. Besides, the article describes chances of agricultural productive cooperatives’ development, which are the result of the membership in an agricultural producer groups.

Celem artykułu była próba oceny wpływu członkostwa Polski w Unii Europejskiej na kształt regulacji prawnych dotyczących funkcjonowania spółdzielni rolniczych i wskazania kierunków ich rozwoju. Przedstawiono problematykę spółdzielczych grup producentów rolnych, w szczególności ewolucję ustawodawstwa oraz problemy związane z korzystaniem ze środków unijnych. W dalszej kolejności rozważania koncentrują się wokół rolniczych spółdzielni produkcyjnych oraz spółdzielni mleczarskich. W uwagach podsumowujących podkreślono m.in., że na prowadzenie działalności przez spółdzielnie rolnicze i kierunki ich rozwoju coraz większy wpływ mają przepisy prawa unijnego oraz sytuacja na rynku europejskim.

The aim of this paper was to present an attempt to assess the impact of Poland's membership in the European Union on legislation governing the operation and directions of development for agricultural co-operatives. It presents issues concerning co-operative agricultural producers' groups, in particular the evolution of legislation and problems associated with the use of EU funds. Further investigations are focused on agricultural production co-operatives and dairy cooperatives. In closing remarks it is stressed, among other things, that the activities of agricultural cooperatives are increasingly determined by the EU law and the market situation in Europe.
