The commentary refers to the judgment of the Constitutional Tribunal of 25 May 2016 (ref. no. Kp 2/15), in which the Tribunal decided that Article 1 para. 6 and Article 1 para. 20 subpara. b of the Act of 10 July 2015, in the scope in which they establish the new form of protecting movable monuments (inscribed on the List of Heritage Treasures) and the institution of expropriation of movable monuments inscribed on the List, are consistent with Article 2, Article 21 para. 2, Article 31 para. 3 and Article 64 paras. 1 and 3 of the Constitution. The commentary contains an attempt at a broad analysis of the problem of expropriation of movable monuments under Polish law. The discussed judgment contributes to the development of the Polish monument protection law and provides arguments in favor of limiting property rights. Since 2003 the institution of expropriation of movable monuments (inscribed on the List of Heritage Treasures) has not been appealed to the Constitutional Tribunal. Hence, the judgment of 25 May 2016 shall be considered a precedent.

Przejęcie spółdzielczej kasy oszczędnościowo-kredytowej (SKOK) na podstawie decyzji administracyjnej wydanej przez Komisję Nadzoru Finansowego (KNF) prowadzi do wystąpienia skomplikowanego stanu faktycznego, którego nie wszystkie zagadnienia są regulowane wprost przez ustawodawcę. Konsekwencje prawne przejęcia SKOK dotyczą sukcesji uniwersalnej, kontynuacji członkostwa w kasie, ochrony majątku kasy przejmowanej oraz majątku jej wierzycieli wskutek zastosowania sankcji bezskuteczności względnej. Ze względu na przyjęty przez ustawodawcę model regulacji (a niekiedy jej brak) przejęcie SKOK na podstawie decyzji KNF prowadzi do konieczności przeprowadzania skomplikowanych procesów wykładni. Proces taki powinien prowadzić do zastosowania do przejęcia SKOK w drodze analogii legis niektórych przepisów o połączeniu spółdzielni.

The takeover of a credit union on the basis of an administrative decision issued by the Polish Financial Supervision Authority leads to the occurrence of a complicated factual state, of which not all issues are directly regulated by the legislator. The legal consequences of the credit union takeover concern universal succession, continuation of a membership, protection of the assets of the acquired credit union and the assets of its creditors. Due to the regulation model adopted by the legislator (and sometimes its lack), the takeover of the credit union based on the Polish Financial Supervision Authority’s decision leads to the necessity of conducting complicated interpretation processes. Such a process should lead to the application of some provisions on the merger of cooperatives to the takeover of credit union by way of analogy of the law.

In the article basic definitions are explained and presented, the analysis of the term “hostile takeover” was undertook. There is shown the difference between friendly and hostile takeovers and the stages of an overtake, also the strategies of hostile takeovers are described. The origin of this process, the time in history when it was mostly common, and the countries in which the number of hostile takeovers is the highest / lowest are indicated. The hostile takeover is more and more common that is why the knowledge of this phenomenon is important for the right preparation to face this process.
