L’articolo si propone di determinare se, alla luce delle disposizioni del diritto dell’UE, la clausola di risoluzione del contratto o di recesso debba essere obbligatoriamente contenuta nel contratto di fornitura di prodotti agricoli. Le considerazioni sono state svolte sulla base dei canoni interpretativi del diritto dell’UE. L’interpretazione grammaticale, comprensiva di diverse lingue ufficiali dell’UE, non ha portato a conclusioni univoche. Mentre i metodi interpretativi non linguistici hanno condotto a risultati assai sorprendenti, distanti dal significato letterale delle disposizioni che disciplinano la materia in questione. Nella parte conclusiva l’Autrice ha affermato che del contratto in oggetto devono necessariamente far parte le disposizioni di recesso, mentre quelle di risoluzione vanno obbligatoriamente inserite nei contratti a termine, nei quali le prestazioni del produttore agricolo hanno un carattere continuativo o periodico.

The purpose of the deliberations was to determine whether, under the provisions of European Union law, the clause on termination or cancellation of a contract is a mandatory element of the contract for the supply of agricultural produce. The considerations were carried out pursuant to the canons of interpretation of EU law. While a grammatical interpretation, taking into account the official languages of the European Union, did not lead to a conclusive answer, extra-linguistic methods of interpretation have resulted in surprising conclusions, differing from the literal wording of the provision regulating the issue in question. In has been thus concluded that a contract for the supply of agricultural produce should contain a provision allowing its cancellation rather than termination, but such a provision ought to be mandatory only in the case of fixed-term contracts, where the performance of the agricultural producer is continuous or periodical.

Celem artykułu jest ustalenie, czy w świetle przepisów prawa wspólnotowego obligatoryjnym elementem umowy dostawy produktów rolnych jest klauzula dotycząca rozwiązania lub wypowiedzenia kontraktu. Rozważania prowadzone są w oparciu o kanony wykładni prawa unijnego, z uwzględnieniem problemów różnych wersji językowych. Wykładnia gramatyczna przeprowadzona w różnych językach urzędowych Unii Europejskiej nie doprowadziła do jednoznacznych wniosków. Pozajęzykowe metody wykładni doprowadziły jednak do wniosków zaskakujących, bowiem odmiennych od literalnego brzmienia przepisu regulującego przedmiotową kwestię. W konkluzji Autorka stwierdza, że koniecznym elementem w umowach dostawy produktów rolnych winny być postanowienia dotyczące wypowiedzenia umowy, nie zaś jej rozwiązania. Klauzule te powinny być obligatoryjnie zawierane wyłącznie w przypadku umów terminowych, w których świadczenie producenta rolnego ma charakter ciągły lub okresowy.

The Act on the protection of the purchaser of dwelling premises or a detached house and the Development Guarantee Fund of 2022 has introduced some changes in the matter of the right of withdrawal and the right to terminate a real estate development contract. However, many issues still raise doubts as, similarly to the preceding law of 2011, the new law does not contain a comprehensive regulation in the field of the right of withdrawal and termination of a real estate development contract, especially in the field of termination for breach of contract. There is a need to consider whether and to what extent legal norms relevant to withdrawal and termination of contracts contained in other acts, in particular in the Polish Civil Code, apply to withdrawal or termination of a real estate development contract. In this context, the author firstly points on the need to properly distinguish between the right of withdrawal and the right to terminate a real estate development contract. Secondly, the author analyses, from the perspective of the new law and the general norms of the Polish Civil Code, specific issues regarding the grounds for withdrawal or termination of a real estate development contract as well as the procedure and the effects of contract termination, in particular the effects of contract termination on other remedies for breach of contract.
