Kilka uwag o rękojmi przy sprzedaży w tzw. obrocie profesjonalnym

The subject of the article is the analysis of the protection of the buyer in the sales contract between entrepreneurs. The text indicates the differences between consumer protection and the protection of the so-called professional. The main considerations relate to the implied warranty (for defects). The author completely misunderstands and does not approve the differentiation of the legal situation of the entities of the purchase and sale contract due to their "professional" nature. The author's goal is to show that the current regulation is wrong (especially in Polish conditions), and above all, its justification is incorrect. Due to the issue of the fundamental foundations of socio-legal and economic relations, it is necessary - in the author's opinion - that at least a small part of the study should be of a semi-philosophical character.

Przedmiotem artykułu jest analizy ochrony kupującego w umowie sprzedaży w obrocie między przedsiębiorcami. Tekst wskazuje na różnice między ochroną konsumenta a ochroną tzw. profesjonalisty. Główne rozważania dotyczą rękojmi za wady. Autor całkowicie nie rozumie i nie aprobuje dotychczasowego różnicowania sytuacji prawnej podmiotów kontraktu kupna-sprzedaży ze względu na ich „profesjonalny” charakter. Celem autora jest wykazanie, że obecne uregulowanie jest błędne (szczególnie w warunkach polskich), a przede wszystkim błędne jest jego uzasadnienie. Ze względu na poruszenie kwestii fundamentalnych podstaw stosunków społeczno-prawno-gospodarczych niezbędne jest - zdaniem autora – aby chociaż niewielka część opracowania miała charakter na poły filozoficzny.
