Opracowanie zawiera prezentację problematyki zasady wyłączności firmy w polskim systemie prawa. W pierwszej części pracy autor prezentuje reguły, do których powinien stosować się przedsiębiorca zamierzający zarejestrować nową firmę. Wykładni poddano taki pojęcia jak „dostateczna odróżnialność firmy” oraz „rynek”. Zasadnicze rozważania koncentrują się wokół analizy mechani-zmów, jakimi władają organy rejestrowe, a mających na celu przestrzeganie tejże zasady na etapie rejestracji przedsiębiorcy. Zdaniem autora w obecnym stanie prawnym organy rejestrowe nie są wyposażone w mechanizmy / procedury służące realnej weryfikacji zasady wyłączności firmy na etapie postępowania rejestrowego.

The study includes a presentation of a company’s exclusivity rule in the Polish legal system. Its first part presents rules that need to be followed by an entrepreneur willing to register a new company. The explanation of such terms as ‘sufficient company’s responsibility’ and ‘market’ has been provided. The core solutions are concentrated around analysis of the mechanisms available for registering authorities, aiming for the compliance with this rule at the registration stage. In the author’s opinion, in current legal situation, registering authorities are not equipped with required mechanisms/procedures leading to the proper verification of the company’s exclusivity rule at the registration stage.
