Mergers and acquisitions (M&A) are one of the most important phenomenon influencing dynamics of the world economy growth. At the same time, big number of acquisitions turns out to be unsuccessful which induces one to examine reasons for failures and factors having influence on success of M&A. In the article an attempt to systematize researchers' and specialists-practitioners' opinions on factors that play a key role in acquisition success was made, as complexity of M&A processes causes that only actions resulting from reliable analysis, that are afterwards well planned and carried out may bring results expected by the entities.

The article presents situation on mergers and acquisitions (M&A) in banking sector during last twenty years. The main motives are selected and analyzed. All is explained on the base on research reports of the Deutsche Bundesbank and the European Central Bank.

The work concentrates on the aspect of cultural understanding in effective communication as an inseparable part of second/foreign language acquisition with the focus on interrelationship between language and culture. This subject “brings together research in anthropology and social cognition, as well as second language learning, acquisition, and teaching” (Hinkel, Eli. 1999. Culture in Second Language Teaching and Learning) and the attempt of the paper is a brief introduction to the trends in research on intercultural communication in the last two decades and mentioning some of the author's findings in the field of intercultural communication as the result of seventeen year work experience in multinational environment including the research perspectives in the definition of the position of Slovak culture within the concept of general cultural differences characterized “from outside”, by the members of other culture groups – nations and introducing the hypothesis that foreign language learners equipped with the basic knowledge about cultural specifications within pre-defined categories of intercultural differences feel more comfortable in communication with the native speakers in the foreign language and express lower level of possible culture shock frustrations.

The paper deals with the explanation of the stock general value's determination of the undertakings participating in an acquisition or merger of undertakings for the purpose of establishing of an appropriate consideration value on the basis of the theory and legal regulations and with the proposal of the solutions applicable in practice of problematic areas and difficulties of the methods valid in the Slovak Republic at the present time.

We want to study two elements involved in the acquisition of Polish as a first language. The first element is lexical hierarchy of verbs. We observe that, when acquir- ing the verbal lexicon of a first language, learners use a large number of generic verbs such as kroić “to cut” or (roz)zbić, (z)łamać et (po)psuć “to break”. These verbs may be used in non conventional statements. The second element is non conventional statements based on verbs, such as Rozbiera drewno “She undresses the wood”. These statements are considered as errors, overextensions or metaphors. But we assert that these statements reflect a semantic flexibility which is essential to the acquisition of the (verbal) lexicon when learning a first language. We believe that verbal lexicon is organized through semantic proximity. This is in agreement with several other authors’ works. Our subjects are Polish adults and children. The children may be in the early or late stages of language acquisition. They were subjected to an experimental protocol which consisted in two tasks: action denomination and action reformulation. Our results include both semantic and statistical analysis. They reveal that all types of subjects produce a large number of generic verbs and non conventional statements.
