Celem artykułu jest zaprezentowanie nowej regulacji prawnej polegającej na utworzeniu przez instytucję kredytową – na bazie istniejącego oddziału tej instytucji w Polsce (przez wniesienie wkładu niepieniężnego składników majątkowych tego oddziału na warunkach określonych w ustawie Prawo bankowe) – banku krajowego, będącego spółką akcyjną.

The aim of the article is to present a new legal regulation that consists in setting up a joint stock bank on the basis of a branch of accredit institution that operates in Poland by means of making a non –cash contribution of the assets of the branch in compliance with the rules determined by the Act on Banking Law.
