Z drugiej strony są źródłem wielu rodzajów ryzyka o charakterze specyficznym, typowym dla tego typu procesów. W artykule przedstawiono wybrane problemy towarzyszące koncentracji kapitału we współczesnej gospodarce rynkowej.

The changing conditions of conducting business activities in the Polish market, associated with the intensifying internationalism and globalization processes, are a frequent cause of changes in the nature and way of capital concentration. Mergers and acquisitions are one of the typical solutions which give companies the chance to develop and achieve competitive advantage. On the other hand, they are a source of many types of specific risks, typical of this type of processes. The article presents selected problems associated with the concentration of capital in the modern market economy.

This article presents the most important aspects of measurement and management performance in capital groups taking into account their division into groups. The first part presents the nature and types of groups, further illustrate the characteristics of measuring performance in enterprises. The next section discusses the most important problems of management performance in the division of the difficulties associated with the acquisition of data, identification of indicators and reporting information. In the last section defines the causes of these problems and consequences that they bring in business management.

Transfer Pricing Optimization in Complex Capital Structures

Complex capital structures are a particular organizational form of business entities in a developed market economy. An important element of their internal financial links are transfer prices. Transfer pricing policy affects in different ways the transactions made between related parties, and varies depending on the decisional discretion of individual responsibility centers. Managers of decision- -making centers aim at determining such a transfer price which will enable them to achieve own benefits, which often leads to conflict of interests and individual aims with aims of whole complex capital structure. This article is an attempt to assess methods and principles of setting optimal transfer pricing from the viewpoint of internal decision-making centers’ aims as well as whole complex capital structure with the assessment of its efficiency impact.

W artykule zawarto rozważania na temat relacji łączących spółki tworzące grupę kapitałową. Celem było rozpoznanie zagadnienia koopetycji w grupach kapitałowych. Analiza funkcjonowania tych podmiotów pokazuje, że mimo iż celem grupy kapitałowej jest współpraca spółek, to nie są one wolne od rywalizacji. W artykule wskazano obszary współpracy i konkurencji oraz znaczenie koopetycji dla funkcjonowania grupy kapitałowej.

The article contains considerations on the relations between enterprises forming a business group. The aim was to identify the issue of coopetition in business groups. The analysis of the business groups functioning shows that although the purpose is cooperation of companies, they are not free of competition. The article also indicates the areas in which cooperation and competition in the business group takes place and the importance of coopetition for the whole business group.
