Kodeksy ładu korporacyjnego w sektorze bankowym

Celem artykułu jest analiza istoty i specyfiki kodeksów ładu korporacyjnego (dalej „kodeksy”) z uwzględnieniem kodeksów przeznaczonych dla różnych sektorów, w tym sektora bankowego. W artykule przedstawiono krótki przegląd rozwoju tego typu regulacji, świadczący o tym, że są one istotnym elementem współczesnego ładu korporacyjnego. Zgodnie z danymi zamieszczonymi na stronie European Corporate Governance Institute liczba krajów, w których zaczęły obowiązywać kodeksy, wynosi 93 (stan na 30.04.2018 r.). Większość wydanych dokumentów dotyczy spółek giełdowych. Jednakże w ostatnich latach pojawia się coraz więcej kodeksów dedykowanych dla specjalnych rodzajów spółek (np. państwowych i rodzinnych) lub dla różnego rodzaju instytucji finansowych (np. banków komercyjnych, inwestorów instytucjonalnych i funduszy inwestycyjnych) oraz dla organizacji charytatywnych.

The aim of the article is to analyze the essence and specifics of codes of corporate governance (hereinafter ‘codes’), including codes dedicated to various sectors, essentially the banking sector. The article presents a short review of the development of codes, proving that they are an essential element of the contemporary corporate governance. According to the data published on the European Corporate Governance Institute website, currently the number of countries which launch codes is 93. Most of the codes issued concern listed companies. However, in recent years, there are more and more codes for special types of companies (for example, state and family) or for various types of financial institutions (e.g. commercial banks, institutional investors and investment funds) and for charities.
