Zmieniające się warunki prowadzenia działalności gospodarczej na rynku polskim, związane z nasilającymi się procesami internacjonalistycznymi oraz globalizacyjnymi są częstą przyczyną zmian charakteru i sposobu koncentracji kapitału. Fuzje i przejęcia są jednymi z typowych rozwiązań dających przedsiębiorstwom szansę na rozwój i osiągnięcie przewagi konkurencyjnej. Z drugiej strony są źródłem wielu rodzajów ryzyka o charakterze specyficznym, typowym dla tego typu procesów. W artykule przedstawiono wybrane problemy towarzyszące koncentracji kapitału we współczesnej gospodarce rynkowej.

The changing conditions of conducting business activities in the Polish market, associated with the intensifying internationalism and globalization processes, are a frequent cause of changes in the nature and way of capital concentration. Mergers and acquisitions are one of the typical solutions which give companies the chance to develop and achieve competitive advantage. On the other hand, they are a source of many types of specific risks, typical of this type of processes. The article presents selected problems associated with the concentration of capital in the modern market economy.

Analysis of inward and outward foreign direct investments in Slovakia

Foreign direct investment is a widely discussed topic within economic literature. However, especially in conditions of transition economies significant disparities between inward and outward foreign direct investment, from their volume as well as from their nature point of view, are obvious. The objective of the present paper is to provide overview of the volume of inward as well as outward foreign direct investments in Slovakia and subsequently to analyse relationships among different types of foreign direct investments. The analysis is conducted for the period of 2003-2016 using correlation and regression analysis. The results show that foreign direct investment inflows are driven primarily by greenfield projects located in Slovakia, and similarly foreign direct investment outflows are driven by greenfield projects realised by Slovak companies abroad.

Problematyka bezpośrednich inwestycji zagranicznych jest szeroko dyskutowana w literaturze przedmiotu. Wśród dostrzeżonych zależności można wskazać m.in. istotne zróżnicowanie, zarówno w odniesieniu do rozmiarów, jak i charakteru, napływających i wypływających bezpośrednich inwestycji zagranicznych w przypadku gospodarek doświadczających transformacji ustrojowej. Celem niniejszego artykułu jest analiza wolumenu bezpośrednich inwestycji zagranicznych w przypadku Słowacji oraz zbadanie relacji pomiędzy różnymi ich rodzajami. W artykule wykorzystano metody analizy korelacyjnej w odniesieniu do danych z lat 2003-2016. Przeprowadzone badania pozwalają stwierdzić, że napływ bezpośrednich inwestycji zagranicznych do Słowacji jest spowodowany przede wszystkim inwestycjami typu greenfield, natomiast słowackie bezpośrednie inwestycje za granicą mają głównie charakter fuzji i przejęć.

Globalization should be treated as a process of spreading, in the world scale, the connections which are typical for the local economic conditions. This phenomenon is associated with the creation of transnational culture and progressively deepening network of social interactions. The mass exchange of people, commodities, services and capitol on the global scale is carried out through modern means of communication and transport technologies. This process includes also long-distance migration of people. The globalization can mean both potential profits and new chances, but on the other hand, it can cause serious threats and huge challenges. A direction of its development and prevention from its negative results, depends on possibilities to influence this process by particular countries and grouping, including societies. It is obvious, that the present shape of the globalization bears injustice, increases inequalities and threats, so is must be corrected to a common favour.(original abstract)

W artykule przedstawiono transakcje konsolidacyjne przedsięwzięć inwestycyjnych w postaci ich fuzji i przejęć. Opisano istotę procesów fuzji i przejęć, będących efektem wyboru ścieżki wzrostu zewnętrznego przez przedsiębiorstwa. Wskazano również, na zasadnicze motywy podejmowania tych przedsięwzięć w kontekście ich wpływu na rozwój, kształtowanie długookresowej efektywności oraz wzrost wartości przedsiębiorstw. Celem artykułu było również przedstawienie głównych kierunków rozwoju fuzji i przejęć w Polsce, jak również barier utrudniających dokonywanie tego rodzaju transakcji. (abstrakt oryginalny)

In the article the consolidated transactions of investments in the form of mergers and acquisitions were presented. The essence of mergers and acquisition processes, which are the effect of the enterprise external growth path were described. The article also pointed out the basic reasons for forming mergers and acquisitions in the context of their influence on long-term effectiveness and the increase of the enterprises value. The aim of the article was also to present the main directions of mergers and acquisitions development in Poland, but also the barriers making this kind of transactions more difficult.
