Autor podejmuje problematykę planowanego wprowadzenia do polskiego porządku prawnego nowego typu formy organizacyjno-prawnej prowadzenia działalności gospodarczej – prostej spółki akcyjnej (PSA). W pierwszej kolejności podejmowana jest analiza powodów uzasadniających ten krok legislacyjny, zarówno w odniesieniu do przyczyn wskazywanych przez projektodawców, jak i w kontekście francuskiej société par actions simplifiée, będącej inspiracją dla polskiego prawodawcy. W konsekwencji tych rozważań Autor kwestionuje obraną technikę legislacyjną, podając w wątpliwość potrzebę wprowadzenia nowego typu spółki i proponując rozwiązania alternatywne. Artykuł, mający charakter głosu w dyskusji, wieńczą: identyfikacja potrzeb innowacyjnych przedsiębiorstw w zakresie regulacji prawnych, propozycje zmian normatywnych oraz zarysowanie koncepcji spółki modułowej jako możliwego kierunku reformy Kodeksu spółek handlowych.

The author deals with the issue of the introduction into the Polish legal order of a new type of legal organizational form for conducting business activity – a simplified joint-stock company (PSA) that is planned. First of all, an analysis of the reasons that justify this legislative step is undertaken, both in relation to the reasons that have been indicated by the project’s providers and within the context of the French société par actions simplifiée, which is the inspiration for the Polish legislators. As a consequence of these considerations, the author questions the legislative technique that has been selected, calls into question the need to introduce a new type of company and proposes alternative solutions. The article, which has the character of a voice in the discussion, includes identifying the need for legal regulations for innovative enterprises, proposing normative changes and outlining the concept of a modular company as a possible direction for the Code of Commercial Companies reform.
