Motywowanie członków naczelnych organów zarządzania w spółkach publicznych stanowi istotne zagadnienie teorii i praktyki nadzoru korporacyjnego. Niedoskonałości nadzoru w tego rodzaju spółkach przejawiają się w rozwarstwieniu pomiędzy wynagrodzeniem menedżerów najwyższego szczebla a wynagrodzeniem pracowników. Celem artykułu jest opis i wstępna analiza podstawowych instrumentów motywacyjnych zarządu w spółkach publicznych. Szczególną uwagę zwrócono na narastające różnice wynagrodzenia menedżerów i pracowników w tych spółkach. Firmy ze Stanów Zjednoczonych wybrane zostały ze względu na wielkość dysproporcji wynagrodzeń, natomiast spółki publiczne działające w Polsce są przedmiotem wstępnych badań porównawczych. Podjęto również próbę przedstawienia teoretycznego wyjaśnienia tego zjawiska.

Motivating of members of top management in public companies is an important challenge for theory and practice of corporate governance. Imperfections in this kind of companies are reflected in the stratification between the remuneration of senior managers and employees. The aim of the article is to describe and to develop an initial analysis of the basic incentive instruments of senior managers in public companies. Special attention has been paid to increasing differences in remuneration of managers and employees in these companies. Examples from the United States were chosen because of the size of the salary disparities, while public companies operating in Poland are the subject of preliminary comparative tests. An attempt was also made to provide a theoretical explanation of these phenomena.
