The main objective of this paper is to present the results of carrying out a capital restructuring in the company using share buy-backs done by companies listed on the Warsaw Stock Exchange. This article focuses on the essence of capital restructuring in relation to the buy-back operations, as well as it presents the conditioning factors of the capital restructuring conducted by repurchasing of its shares. The empirical part of the paper presents the results of analysis on the impact of share buyback conducted by public companies listed on the Warsaw Stock Exchange on the capital structure of a company.

The main goal of this article is to present preliminary results of empirical research on the substitutability of cash return to shareholders in companies listed on the Stock Exchange in the form of cash dividend and share buyback. For the realization of the objective it has been adopted to develop the research hypothesis stating that the shares repurchases done on the Warsaw Stock Exchange are – according to the cash dividend – more and more frequently used form of returning cash to shareholders. The paper is divided into two parts. In theoretical one, there are shown some views on substitution hypothesis and exhibited the results of surveys made by other researchers. The second part is practical research conducted among polish public companies.

The main purpose of this article is to show place, role and meaning of the public polish companies' share repurchases in a defensive action against hostile takeover. The paper is divided into two main parts. The first one, constitutes the theoretical consideration which is scarified to hostile takeovers and share repurchases. The second part is an empirical material which is concentrated on: amount of polish companies caring out share repurchases, motives of conducting buy-backs and empirical experiences of polish entrepreneurs that used share repurchases as a method of defense against hostile takeovers.

Buy-back na rynku nieruchomości – zarys problematyki

Przedmiotem artykułu jest przedstawienie istoty metody (operacji) buy-back w kontekście jej wykorzystania na rynku nieruchomości. W tym obszarze gospodarczym znajduje ona szereg zastosowań. Z jednej strony może być wykorzystywana jako metoda finansowania projektów inwestycyjnych, zarówno tych realizowanych na bazie wiązanych umów handlowych, jak i tych o charakterze deweloperskim. W aspekcie kapitałowym buy-back jest operacją wykupu własnych akcji (udziałów) przez spółki kapitałowe, dokonywaną najczęściej w celu ich umorzenia. W tym ujęciu może być ona wykorzystywana na rynku nieruchomości przez podmioty gospodarcze zorganizowane w formie spółek akcyjnych czy z ograniczoną odpowiedzialnością, zajmujące się np. produkcją materiałów budowlanych, wykonywaniem robót budowlanych, realizujących projekty deweloperskie, pośredniczących w obrocie nieruchomościami, etc. Wreszcie buy-back, w ostatnim z omówionych w niniejszym artykule zastosowań, może być narzędziem, umożliwiającym podmiotom niespłacającym zobowiązań hipotecznych wobec instytucji bankowych pozyskanie środków finansowych na zaspokojenie roszczeń pierwotnego wierzyciela (tj. banku), a tym samym wstrzymanie postępowania egzekucji długu i uniknięcie definitywnej utraty nieruchomości

This article presents the salient features, and many applications, of the buy-back method used within the real estate market. Buy-back can be employed to finance investment projects, in the capital market sense or as an instrument to generate funds. Investment projects applying the buy-back method may consist of either countertrade agreements or developmental projects. In the capital market context, buy-back can be explained as the re-purchase of a company’s own common stock on the open market. This type of buy-back can be applied by companies with direct influence on the real estate market i.e. building material manufacturers, construction companies, architectural firms, real estate agencies, etc. Finally buy-back may enable homeowners, struggling with mortgage debts, to receive money from companies specializing in paying off bank debts in order to avoid defaulting on the mortgage and having their property repossessed.
