The article presents discussion around the essence and meaning of the privatization of public aims. The presentation of methods of their privatization, and detailed analysis of popular so-called: order “in house”. The entire problem was presented in the context of the performance of the owner’s supervision over a company performing this type of order. Further, the article presents the case study of functioning of this type of companies and presents the model of the supervisory structure on the example of research of empirical municipal companies end tools of the accountancy helping supervisory mechanisms in special municipal companies. The final part of the article presents conclusions from the research.

W artykule przedstawiono dyskusję wokół innowacji organizacyjnych dotyczących koncepcji nadzoru właścicielskiego spółek komunalnych. Dokonano prezentacji teorii ekonomicznych w kontekście innowacji, a także omówiono uwarunkowania prawno-organizacyjne, które generują innowacje organizacyjne będące źródłem rozwiązań praktycznych. Całość zagadnienia jest osadzona w kontekście problematyki nadzoru korporacyjnego i jego specyfiki, tj. nadzoru właścicielskiego specjalnych spółek komunalnych (SSK). Ponadto przeanalizowano uwarunkowania funkcjonowania tych spółek z uwzględnieniem rozwiązań Unii Europejskiej i krajowych, zaprezentowano również źródła kryteriów oceny efektywności sprawowanego nadzoru właścicielskiego. W dalszej części artykułu zajęto się analizą przypadku funkcjonowania dwóch SSK oraz zaproponowano ramowy model struktury nadzorczej na przykładzie badań empirycznych. Celem opisanych badań jest dokonanie oceny istniejącego systemu nadzoru właścicielskiego specjalnych spółek komunalnych realizujących zamówienie in house oraz przedstawienie koncepcji nadzoru właścicielskiego sprawowanego przez jednostki samorządu terytorialnego (JST) nad tymi spółkami wraz z podaniem warunków jej implementacji. W końcowej części artykułu wymieniono wnioski wynikające z przeprowadzonych badań.

The article presents discussion around the essence and meaning of innovation of organizational concerning ideas of the owner’s supervision of communal companies. The presentation of methods of economic theories in the context of the innovation, and also detailed analysis of legal and organizational conditions which generate organizational innovations, being the source of practical solutions. The whole of the problem is embedded in the context of the problems of the corporate supervision and its specific i.e. the owner’s supervision of special communal companies (SCC). Also, it presents conditionings of the kelter of these companies with the regard of the EU and national solutions, also sources of evaluation criteria the effectiveness of performed owner’s supervision have been presented. In the further part of the article one presented the case study of the kelter of two SCC and presents the frame-model of the supervisory structure on the example of empirical research. The purpose of the research described in the article is the evaluation of the existing system of the owner’s supervision of special communal companies, realizing the order “in house” and presentation of the idea of the owner’s supervision performed by individuals of local government (LG) over these companies, along with defining the conditions of their use. The final part of the article presents conclusions of the research.
