The commented desicion mainly concerns on establishing the limits of the freedom of a commercial partnership agreement as regards the admissibility to depart from the principle of unanimous amendment. This issue is particularly important in the context of a limited partnership agreement, in which partners have different status.

Glosowane postanowienie dotyczy przede wszystkim ustalenia granic swobody kształtowania treści umowy spółki osobowej w zakresie dopuszczalności odstąpienia od zasady jej jednomyślnej zmiany. Zagadnienie to nabiera szczególnego znaczenia w kontekście umowy spółki komandytowej, w której wspólnicy mają zróżnicowany status.
W artykule została podjęta próba analizy zasad odpowiedzialności cywilnej członków zarządów spółek handlowych na gruncie k.s.h., a także możliwych rozwiązań konstrukcyjnych umowy ubezpieczenia takiej odpowiedzialności. Na wstępie opisano przyczyny wyodrębnienia szczególnego rodzaju ubezpieczenia, jakim jest ubezpieczenie D&O, a także jego ewolucję. Ponadto, artykuł relacjonuje recepcję tego specyficznego produktu ubezpieczeniowego na polskim rynku ubezpieczeń. Dalsza część rozważań jest poświęcona wskazaniu poszczególnych źródeł odpowiedzialności członków zarządów spółek handlowych, ze szczególnym uwzględnieniem przepisów k.s.h. Istotnym problemem, jaki pojawia się w tej części analizy, jest kwestia charakteru odpowiedzialności z art. 299 k.s.h. W doktrynie zarysowały się przeciwstawne stanowiska co do tego, czy ma ona charakter odszkodowawczy. Przyjęcie jednego z rozwiązań pociąga za sobą daleko idące konsekwencje na gruncie prawa ubezpieczeniowego, bowiem decyduje o możliwości skorzystania z actio directa. Umowa ubezpieczenia D&O może zostać skonstruowana w dwóch podstawowych wariantach – w pierwszym ubezpieczony zawiera umowę we własnym imieniu i na własny rachunek, natomiast w drugim – umowie na rzecz osoby trzeciej. Ów drugi wariant dominuje w obrocie gospodarczym, wobec czego został on omówiony szerzej. Szczególne znaczenie dla omawianego ubezpieczenia ma możliwość zawarcia umowy ubezpieczenia na rzecz nieoznaczonej osoby trzeciej. Dalsza część artykułu została poświęcona zakresowi przedmiotowemu ubezpieczenia – omówione zostały poszczególne klauzule ubezpieczeniowe, oznaczone kolejnymi literami alfabetu. Stanowią one typowe, najczęściej występujące w praktyce warianty umowy ubezpieczenia D&O. Jedynie niektóre z tych klauzul prowadzą do objęcia ubezpieczonego umową ubezpieczenia odpowiedzialności cywilnej. Ostatnim z omówionych zagadnień są zdarzenia wyłączające odpowiedzialność ubezpieczyciela w ubezpieczeniu D&O.

The main purpose of this article is to analyze the principles of civil liability of members of boards of commercial companies on the basis of the Polish Code of Commercial Companies. The authors also try to present possible models of an insurance contract structure concerning such liability. In the introduction, the authors describe the causes of separation a specific type of insurance, which is a D&O insurance, as well as its evolution. In addition, the article reports reception of this specific insurance product on the Polish insurance market. The remaining part of the discussion is oriented to identifying various sources of liability of members of boards of commercial companies, with particular consideration of the provisions of the Code of Commercial Companies. A major problem that arises in this part of the analysis is the question of the nature of the liability set forth in art. 299 of the Code of Commercial Companies. The jurisprudence emerged opposing views as to whether it is compensatory in nature. The adoption of one of the solutions entails far-reaching consequences for the insurance law, as it is the main factor that allows to file an actio directa complaint against an insurer. D&O insurance contract can be constructed in two basic versions - the first is that the insured enters into a contract in their own name; the second is that the contract is concluded for the benefit of a third party. This second variant dominates in business, so that it has been discussed widely. The possibility to conclude the contract for any third party has a significant meaning. The rest of the article is devoted to presenting the objective scope of the D&O insurance -various insurance clauses, marked with consecutive letters of the alphabet, have been discussed. They represent typical most often used in practice variants of the D&O insurance contract. Only some of these clauses lead to cover the insured party with the civil liability insurance. The last of the issues discussed in the article are the circumstances that exclude the liability of the insurer in the D&O insurance.
The content of the article concentrates around legal-organizational problems of an organization which are distinguished on the basis of incentives leading to start business - in this case we mean commercial enterprises. The aim of the study is to specify the basic legal-organizational forms of an organization permitted by the Polish legal system, their basic characteristics, conditions and choice criteria considering the business establishment ciriteria anticipated in the given legal system, the structure of authority, management methods as well as the issue of responsibility within an organization.

Tak skonstruowany cel oznacza, że artykuł skierowany jest przede wszystkim do osób zainteresowanych aktywnością gospodarczą w obu państwach graniczących ze sobą. Wybór właściwej formy prawnej prowadzonej działalności gospodarczej umożliwia realizację wspólnych przedsięwzięć gospodarczych Polski i Ukrainy. Bliskość położenia geograficznego Polski i Ukrainy wykazuje możliwości wykorzystania doświadczeń w zakresie doboru właściwej formy prowadzonej działalności gospodarczej w obu krajach. Artykuł o charakterze metodologicznym ma implikacje praktyczne i społeczne. Opisano w nim ramy organizacyjne funkcjonowania różnych kategorii spółek handlowych działających w Polsce i na Ukrainie. Wskazano różnice w wybranych regulacjach prawnych. Przedstawiono rekomendacje dla rynku ukraińskiego.

An aim of considerations is to present the essence of business activity undertaken and run in the legal form of commercial partnership and to indicate the differences between the regulations concerning an enterprise of the company operating in Poland and in Ukraine. Thus construed the aim means that the article is addressed, first of all, to the individuals interested in business activity in both neighbouring states. Choice of the proper legal form of the carried out business activity makes it possible to implement joint ventures by Poland and Ukraine. The geographical proximity of Poland and Ukraine indicates the opportunities to make use of experience as regards the selection of the relevant form of the carried out business activity in both countries. The article of the methodological nature has practical and social implications. The author described in it the organisational framework of functioning of various categories of commercial partnerships operating in Poland and Ukraine. She indicated the difference in the selected legal regulations and presented recommendations for the Ukrainian market.
Opracowanie podejmuje zagadnienie statusu wspólników spółek handlowych w aspekcie obowiązku ubezpieczenia społecznego. Analiza ta wykazuje brak spójnej koncepcji ustawodawczej. Skorygowania wymaga podmiotowy zasięg obowiązku ubezpieczenia wspólników niektórych spółek osobowych — spółki komandytowej i spółki komandytowo-akcyjnej. Ponadto status wspólnika jako tytuł ubezpieczenia społecznego nie jest powiązany z prowadzeniem przez spółkę działalności gospodarczej. W przypadku wspólników spółek kapitałowych ubezpieczenie społeczne powinno być natomiast wyjątkiem od reguły nieubezpieczenia. Ubezpieczeniu społecznemu nie powinien podlegać kapitał, lecz praca lub działalność zarobkowa.

The author analyses the status of a partner in a commercial partnership in the light of the scope of a statutory social security scheme. The text shows that a legislator has no clear idea of the legal regulation. The scope of compulsory social insurance should be corrected in respect of the partners in a limited partnership and private partnership unlimited with share capital. The status of the partner treated as a basis of compulsory social insurance should depend on whether a partnership or a company actually carries out economic activity. In the author’s opinion there is no need for social insurance of the capital. Therefore the compulsory social insurance of the partners in joint stock companies may be accepted only by way of exception.
