The subject of this article is an evaluation of part of recommendation H of Polish Financial Supervision Authority regarding legal risk. The author proves that the recommendation should be revised since legal risk as an element of operational risk grows and has an impact on stability of banking system. The author presents sources of recommendations system and stresses the need of improvements. Afterwards he introduces his own definition of legal risk, detailing and rationalizing its elements, adding economic meanings to raised issues. Next the author critically evaluates the only recommendation of PFSA regarding legal risk and finally indicates the structure of new recommendation to exhaust the scale and range of raised issues.

Research background: The identification of risks and their management is a key task of strategic management. The right and early identification of risk sources can help companies to survive not only during a crisis period. However, small and medium enterprises (SMEs) underestimate the necessity to analyze risks and implement the enterprise risk management (ERM). Purpose of the article: The primary aim of the contribution is to identify the most important non-financial risks and their causes in the V4 countries and to analyze the perception of these risks by SME owners. Methods: The results are based on the survey conducted in 2018. The valid questionnaire of 1781 owners of SMEs from four countries was evaluated and analyzed to fulfil the main objective. The statistical hypotheses were con-firmed through statistical methods such as Z-score and Chi-square test. The SPSS Statistics was used for data evaluation. Findings & Value added: The results can be interesting not only for research organizations investigating the development of SMEs, but also for state institutions or private agencies seeking to adapt national support for SMEs. It was discovered that the entrepreneur's country is the most important factor for the perception of the sources of safety risk, legal risk, and other business risks. There are differences in managers' perception in case of other risk sources (corruption and clientelism) between entrepreneurs from the Czech Republic and other countries of the Visegrad Group. The SMEs' country of origin is an important factor for the evaluation of the source of non-financial risks (safety risk, legal risk and other business risks). Differences in the perception of safety risk sources between entrepreneurs from the Czech Republic and Poland were confirmed. More than 25% of SMEs in the Visegrad Group perceive frequent changes of the legal regulation as a legal risk.

Celem artykułu jest identyfikacja podstawowych obszarów ryzyka związanych z problematyką ochrony danych osobowych na podstawie aktualnych przepisów (dalej: ryzyko prawne RODO) w organizacjach sektora finansów publicznych. Opracowanie przybliża problematykę zarządzania ochroną danych osobowych z punktu widzenia ekonomicznej oceny skutków naruszania obowiązujących norm prawnych w kontekście możliwych do poniesienia sankcji finansowych i wizerunkowych dla organizacji publicznych. Artykuł opiera się na przeglądzie dostępnej literatury, wynikach kontroli NIK oraz badaniach własnych. The aim of this article is to identify primary risk areas related to the protection of personal data on the basis of current regulations (further referred to as “the GDPR-related legal risk”) in organizations of the public finance sector. The article focuses on the matters relating to the management of personal data protection with respect to the economic impact assessment of violating the existing legal standards and in the context of possible financial and image-related sanctions for public organizations. It is based on the review of available literature, audit reports of the Supreme Audit Office (Najwyższa Izba Kontroli, NIK) and my own research. Mimo że tematyka ryzyka podejmowanego przez banki jest szeroko opisywana w literaturze przedmiotu, to jednak zagrożenia napotykane w działalności instytucji sieci bezpieczeństwa finansowego są znacznie rzadziej analizowane. Dobrą okazją do ich bliższego rozpoznania jest pierwsze w historii wdrożenie procedury resolution przez Jednolitą Radę ds. Resolution (organ resolution unii bankowej), zgodnie z wprowadzonymi po kryzysie finansowych 2007+ przepisami. Analiza pozwów wytoczonych w związku z przymusową sprzedażą Banco Popular Español (BPE) do banku Santander jest bowiem cenną lekcją potencjalnych rodzajów ryzyka prawnego, z którym musi się zmierzyć organ resolution. W tym celu dokonano analizy pojęcia ryzyka prawnego, przedstawiono ramy prowadzenia działań antykryzysowych w nowych uwarunkowaniach prawnych oraz przebieg kryzysu w banku BPE. Następnie przeanalizowano konsekwencje resolution BPE przez pryzmat pozwów przeciw przeprowadzonym działaniom.

Although the subject of bank risks is widely described in the banking literature, the dangers encountered in the operations of safety net institutions are less frequently analyzed. A good opportunity for their deeper study is the first implementation of the resolution procedure by the Single Resolution Board (banking union resolution authority) in line with the provisions introduced to the EU legal framework after the financial crisis 2007+. The analysis of the lawsuits connected with the forced sale of the Banco Popular Español to Santander (BPE) offers a valuable lesson on potential legal risks that must be addressed by the resolution authority. For this purpose, the concept of legal risk, the framework for conducting anti-crisis measures in the new legal environment and the course of the BPE crisis have been analyzed. Then, the consequences of BPE’s resolution have been investigated.
