W artykule zaprezentowano zjawisko missellingu na polskim rynku obligacji na przykładzie obligacji emitowanych przez GetBack S.A. Przedstawiono również postulaty de lege ferenda mające na celu zwiększenie poziomu ochrony obligatariuszy przed zjawiskiem missellingu. W artykule zastosowano metodę dogmatyczno-prawną oraz analizę danych zastanych. Kluczowym problemem badawczym jest w jaki sposób należy doprecyzować regulacje prawne dotyczące ochrony konsumentów na rynku obligacji, aby obligatariusze nie stawali się ofiarami missellingu. Zgodnie z hipotezą postawioną przez autora przepisy prawa, obowiązujące w tym zakresie, wymagają uszczelnienia poprzez nałożenie dodatkowych obowiązków na podmioty oferujące nabycie obligacji konsumentom, a także zaostrzenie kar za stosowanie nieuczciwych praktyk sprzedażowych.
Przedmiotem artykułu jest ocena możliwości i form naruszenia zbiorowego interesu konsumentów w toku prywatnej emisji obligacji. Niedawne wydarzenia na rynku kapitałowym pokazały, że konsumenci inwestujący swoje środki na tym rynku są narażeni na zachowania przedsiębiorców, które mogą naruszać ich interesy. W tym kontekście należy rozważyć czy działania przedsiębiorców mogą również prowadzić do naruszenia zbiorowego interesu konsumentów, a jeżeli tak, to w odniesieniu do jakich przykładów naruszenia zbiorowego interesu konsumentów przewidzianych przez przepisy uokik mogą się odnosić, a także jakie mogą przybierać formy. W związku z powyższym, w ramach niniejszego artykułu zostanie przedstawione, w jaki sposób należy rozumieć ofertę prywatną obligacji w kontekście niedawnych zmian w prawie polskim, jakie czynności składają się na proces emisji obligacji, a także czy potencjalne naruszenia zasad przeprowadzenia procesu emisji obligacji mogą zostać zakwalifikowane jako naruszające zbiorowe interesy konsumentów.
The amendment to the act on competition and consumer protection, in force since 17 April 2016, introduced a ban on the so-called ‘misselling’ as a new type of practice that violates collective consumer interests. The sale of products that are not suited to the needs of clients is a frequent reason for complaints to courts and institutions of consumer protection. Thus, it has a negative impact on clients' trust in financial market entities, because it exposes them to unnecessary risk and generates additional service costs. The financial services market is a type of market that has a significant impact on its customers. The source of threats may be the fact that financial institutions operate in an area of increased risk with a relatively low share of equity, and also, they rely on the funds entrusted to them by clients. The aim of this paper is to identify the phenomenon of misselling, explain the reasons for which it is undesirable from the point of view of consumer protection, and present solutions for its reduction. The paper is based on a review, analysis, and synthesis of selected publications (domestic and foreign) which are important from the point of view of the topic. Moreover, the paper includes an analysis of secondary data from official documents and reports of financial market entities.
W dniu 5 sierpnia 2015 r. uchwalona została nowelizacja ustawy o ochronie konkurencji i konsumentów, przynosząca zmiany o bardzo dużej doniosłości dla rynku ubezpieczeniowego. Wprowadzony zostaje nowy tryb abstrakcyjnej kontroli wzorców umownych, czego skutki z pewnością staną się szybko odczuwalne w branży tak powszechnie korzystającej w obrocie z ogólnych warunków ubezpieczeń. W tym nowym trybie kontroli wzorców wzmocnieniu – w porównaniu z dotychczasowym stanem prawnym – ma ulec pozycja Rzecznika Finansowego. Ponadto nowelizacja zawiera nową regulację – adresowaną specjalnie do przedsiębiorców działających w sektorze usług finansowych – przy pomocy której ustawodawca postawił sobie za cel walkę z tzw. missellingiem, którego częste występowanie zostało zaobserwowane i na rynku ubezpieczeniowym. Artykuł poświęcony jest przedstawieniu zmian, wprowadzonych nowelizacją, wraz z zarysowaniem genezy wydania nowych przepisów. Autorka wskazuje także niektóre wątpliwości, jakie powstają na ich tle oraz próbuje ocenić, czy nowe regulacje są w stanie spełnić oczekiwania konsumentów, przedsiębiorców i samego ustawodawcy.

On August 5, 2015 an amendment to the Consumer and Competition Protection Act was adopted, bringing changes of utmost importance for the insurance market. A new model of abstract control of standard contracts has been introduced, the consequences of which will certainly become quickly felt in the industry that widely uses general terms of insurance. In comparison with the previous legal status the position of the Financial Ombudsman has become strengthened in the new control model. Besides, the amendment includes a new regulation, addressed especially to entrepreneurs operating in the financial services sector, with the help of which the legislator attempts to struggle against so-called 'misselling' frequently occurring in the insurance market. The article is devoted to the presentation of the changes, introduced by the amendment, along with outlining the origins of new regulations. In addition, the author expresses certain doubts that have arisen and tries to evaluate whether the new regulations are able to meet the expectations of consumers, entrepreneurs as well as the legislature.
The aim of the MIFID II Directive was to reduce conflicts of interest and misselling between distributors of financial instruments and specially protected individual investors. One of the changes was a restriction of paying “inducements” by investment fund companies (TFI) to distributors of financial instruments. The article describes the new practices that arose in the financial instrument distribution market after the implementation of the MIFID II Directive and the results of the authors’ in-depth survey conducted among the financial market professionals. The authors argue that the MIFID II Directive increased the amount of regulation for distributors of financial instruments, strengthened the protection of the individual investor, but, on the other hand, limited the range of offerings and worsened the situation of distributors not affiliated with banking groups.

Jednym z celów Dyrektywy MIFID II było ograniczenie konfliktów interesów oraz missellingu pomiędzy dystrybutorami instrumentów finansowych a klientami detalicznymi. Nowością było ograniczenie zakresu wypłacania „zachęt” przez towarzystwa funduszy inwestycyjnych dystrybutorom instrumentów finansowych. W artykule opisano nowe praktyki powstałe na rynku dystrybucji instrumentów finansowych po wdrożeniu Dyrektywy MIFID II oraz wyniki pogłębionej ankiety przeprowadzonej wśród profesjonalistów rynku finansowego. Autorzy dowodzą, że Dyrektywa MIFID II zwiększyła liczbę regulacji dla dystrybutorów instrumentów finansowych, wzmocniła ochronę klientów detalicznych (szczególnie inwestorów indywidualnych), ale z drugiej strony ograniczyła zakres oferty i (w związku z ograniczeniem „zachęt”) pogorszyła sytuację dystrybutorów niepowiązanych z grupami bankowymi.
Commercial banks which are focused on increase of profits, frequently use dishonest market practices. Sales plan realizaton frequently causes force on customers sign the contracts, which are not good for customer`s interests. Losses which they incure have impact for that customers stop thinking that the banks are institution of public trust. Banks seek to increase sales not only cost customers, but also their workers. Sales plans are demoting for workers and have negative impact for work efficiency. The article emphasize the problem of realization sales plans in banks which force deceptive and unethical behaviors. However customers have many tools fight with banks and they are not alone. Deceived customers by banks have a lot of possibility claim their rights.

Banki komercyjne nastawione na osiąganie zysków często stosują nieuczciwe praktyki rynkowe. Realizacja przez nie tzw. planów sprzedażowych powoduje często wymuszanie na klientach podpisania umów, które nie odpowiadają ich interesom. Straty, które w związku z tym ponoszą mają wpływ na to, że klienci przestają postrzegać banki jako instytucje zaufania publicznego. Banki dążą do wzrostu sprzedaży nie tylko kosztem klientów, ale także własnych pracowników. Plany sprzedaży demotywują pracowników i mają negatywny wpływ na wydajność pracy. Artykuł podkreśla problem realizacji w bankach planów sprzedażowych, które wymuszają oszukańcze i nieetyczne zachowania. Wskazuje jednak, że klienci mają wiele narzędzi walki z bankami i nie pozostają w niej osamotnieni. Oszukiwani przez banki klienci mają liczne możliwości dochodzenia swoich praw.
This article concerns the institution of misselling introduced recently to the Polish legal system. Misselling has been commonly defi ned as dishonest sale. Currently, the solution adopted by the Polish legislator applies only to fi nancial services provided by fi nancial institutions to consumers. This regulation is not extensive but it has already stirred a lively debate among the representatives of legal practice and doctrine. This article is a voice in the discussion and its purpose is to identify the public law aspect of the solutions adopted and propose certain actions to be taken at the level of the regulated and the regulating entities and which would account among other things for the new, behavioural way of perceiving a consumer as an informed subject even if not always rational. The need for the evolution of the paradigm of a rational consumer, which is a challenge for the contemporary legislator, has been dictated by the experience gained so far as well as by the changing reality. The market today off ers a range of new fi nancial instruments which while being innovative very frequently carry extreme risk. The intensive and sometimes intrusive advertising of these instruments off ered to ”rational consumers” uses diff erent persuasive marketing techniques and may in eff ect result in a potential loss of stability and security of the fi nancial market. Therefore while implementing the stabilisation narrative promoted within the European Union, legislative bodies in Member States adopt solutions like misselling which are intended to reduce at least partly the risk of another crisis in the fi nancial sector. Its sources go back to the conception of homo oeconomicus, that is a rational consumer who based on the information provided is capable of making a rational decision that is best for him. However, as experience and history show, this attitude is too idealistic and needs being redefi ned. Developing an optimal conception of an informed consumer requires an interdisciplinary approach which apart from the legal and economic elements will take into account the experiences of other branches of science, such as sociology or psychology as well.
Misselling jest sprzedażą nieuczciwą, która ma na celu wprowadzenie konsumenta w błąd. Zjawisko to jest tożsame z nieetycznym, a nawet wątpliwym pod względem prawnym oferowaniem produktów finansowych oraz z ich nieetyczną sprzedażą. Misselling można dostrzec zarówno na etapie działań marketingowych, np. w reklamach pomijających istotne fakty dotyczące produktu, ale także przy bezpośrednim kontakcie z klientem pracownika rynku finansowego, np. poprzez nieinformowanie o ważnych elementach charakteryzujących produkt. Głównym celem artykułu jest weryfikacja występowania zjawiska missellingu w sprzedaży oraz obsłudze ubezpieczeń działu I, które nie dotyczą ubezpieczeń na życie z UFK. Analizie poddano cztery skargi skierowane do Rzecznika Finansowego z lat 2017 oraz 2018, w których poruszony został problem wprowadzenia w błąd klientów zakładów ubezpieczeń. Na ich przykładzie dostrzeżono problem nieuczciwej sprzedaży i wykorzystywania przewagi informacyjnej przez sprzedających ubezpieczenia.

Mis-selling is an unfair sale that aims to misinform consumers. The phenomenon is identical with unethical, even dubious in legal terms, offering and selling of financial products. It can be seen in marketing activities, for example in advertisements which ignore important facts about a product, as well as in direct contact of a financial market employee with a client. It may mean not informing about important elements characterizing a product or its real construction, it may be reflected in incorrect presentation of insurance scope or suggestions connected to capital placement. The main aim of the article is to verify the phenomenon of mis-selling in the sale and service of life insurance, which does not include life insurance with an insurance capital fund. Six complaints addressed to the Financial Ombudsman from 2017 and 2018 were analyzed, in which an issue of misinforming consumers of insurance companies was raised. Their example showed the problem of unfair sales and usage of information advantage by insurance sellers.
Currently, we can observe a trend consisting in offering products, including financial ones, which are individualized, that is, tailored to the consumer’s needs. To meet the above, the Polish legislator, following the example of the British regulation, introduced the so-called ban on misselling financial services to the Polish legal order. The aim of this publication is to analyse the misselling understood as offering and selling products that do not match the needs of consumers.

Aktualnie można zaobserwować trend, polegający na oferowaniu produktów, w tym finansowych, które są zindywidualizowane, czyli dopasowane do potrzeb konsumenta. Wychodząc naprzeciw powyższemu, ustawodawca polski, na wzór regulacji brytyjskiej, wprowadził do polskiego porządku prawnego tzw. zakaz missellingu usług finansowych. Celem niniejszej publikacji jest analiza missellingu rozumianego jako oferowanie i sprzedaż produktów niedopasowanych do potrzeb konsumentów.
Celem artykułu było przedstawienie stosunkowo nowego w polskim dyskursie zagadnienia ryzyka braku zgodności, a także umieszczenie go w obszarze etyki bankowej. Wzmożona intensyfikacja kontroli wewnętrznej w bankach spowodowana rosnącą liczbą regulacji stała się przyczynkiem do powstania niniejszej pracy. W artykule weryfikacji została poddana teza badawcza, iż dla prawidłowego funkcjonowania banku duże znaczenie ma właściwe zarządzanie ryzykiem braku zgodności. Autorka posłużyła się metodą krytycznej analizy literatury, która pozwoliła na weryfikację postawionej tezy badawczej. Artykuł może stanowić wstęp do kolejnych rozważań na temat ryzyka braku zgodności.

The main purpose of this article is to present a compliance risk (according to the author, the important one – both from the point of view of the bank and the employees) and its location in banking sector. The increased intensification of internal control in banks caused by the growing number of the regulations has become a contribution to the creation of this elaboration. In this article, a hypothesis is examined that proper compliance risk management is very important in the correct functioning of a bank. To this end, the method of critical literature review was used, allowing to verify the research hypothesis. Literature items in the field of economics (also in English) and regulations applicable in the Polish and European legislation provided the main source of research material.
The article presents the changes in the supervisory paradigm and the latest legal regulation on insurance market aimed at prevention of misselling. First, the concept, form and scale of this phenomena were briefly described. There were analyzed some regulations of Insurance Distribution Directive (IDD) 2016/97 of 20 January 2016 implemented into Polish legal system, in aspect of their influence on reduction of misselling and inadequate sales to the needs of customers. In particular the norms imposing on distributors to act in the best interest of their consumers, necessity to recognize consumer’s needs and expectations and the compensation system for agents were considered. The conclusions indicate fundamental reconstruction of consumer protection model on insurance market. The implementation of Insurance Distribution Directive will not cause the unification of consumer service between various channels of distribution but will reduce the conflict of interest between contract sides and the unsuitability of insurance products. The efficiency of regulations will depend on the ability of executions by supervisions authority first of all. Research methods used in the article include analysis of literature and legal regulations.

Artykuł opisuje zmianę paradygmatu regulacyjno-nadzorczego oraz przepisów prawnych w aspekcie przeciwdziałania zjawisku nieuczciwej sprzedaży (ang. misseling) na rynku ubezpieczeniowym. Przedstawiono w nim istotę, formy oraz skalę występowania tego zjawiska. Dokonano analizy treści nowych regulacji prawnych, wprowadzonych w związku z transpozycją dyrektywy o dystrybucji ubezpieczeń IDD 2016/97 z 20 stycznia 2016 roku do polskiego porządku prawnego, z punktu widzenia możliwości ograniczenia nieuczciwej sprzedaży i nieadekwatności produktów ubezpieczeniowych do potrzeb i wymagań klientów. W szczególności przebadano przepisy dotyczące obowiązku działania w jak najlepiej pojętym interesie klienta, badania potrzeb i wymagań klientów oraz wynagradzania pośredników ubezpieczeniowych. Wnioski wskazują na głęboką zmianę modelu ochrony klienta na rynku ubezpieczeniowym. Implementacja przepisów dyrektywy IDD nie doprowadzi do ujednolicenia poziomu ochrony pomiędzy kanałami dystrybucji, natomiast wpłynie na ograniczenie konfliktu interesów i poprawi adekwatność produktów. Skuteczność przepisów będzie przede wszystkim zależała od zdolności do ich egzekwowania przez organy nadzoru. Artykuł powstał na podstawie studiów literatury przedmiotu oraz analizy treści przepisów prawnych.
